FIRST AMENDMENT TO MASTER SERVICES AGREEMENT

fI This First Amendment("Amendment") refers to and modifies that certain Master Services Agreement
1 ("MSA") between Viverae, Inc. ("Viverae")and City of Kent,Washington ("Client")with an Effective Date of
September 29, 2016(hereinafter referred to as the "Agreement").
WHEREAS, the Parties desire to modify certain terms and provisions of the Agreement,
WHEREAS, Client delivered notice of termination to Viverae and Viverae has accepted termination,
NOW THEREFORE, in consideration of the mutual promises and obligations set forth in this Amendment
and the Agreement and other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged,and intending to be legally bound,Viverae and Client agree as follows',
1, Viverae's company name has changed to"SimplyWell, Inc." Any and all reference to Viverae is hereby
changed to "SimplyWell",
2. Term. Effective upon signing,the term of the Agreement is modified to terminate on December 31,2018
without renewing.
3. Except as expressly modified in this Amendment, all other terms and conditions of the Agreement shall
remain in full force and effect,
Client and SimplyWell have acknowledged their understanding of and hereby agree to the mutual promises
contained herein by executing this Amendment as of the last dale signed below.
