Dear Ms. Caracciolo,
Please be advised the City of Kent, Washington ("City") is exercising
its right, pursuant to Section II.3. of the Professional Services Agreement
("Agreement") executed on or about May 30, 2013 between American Traffic
Solutions, Inc. ("ATS") and the City, to extend the Agreement for five (5)
additional years from the current expiration date. In addition to the renewal,
the City is authorizing ATS to install additional fixed school zone speed safety
cameras systems at locations mutually agreed to by the parties as noted in
the Notice to Proceed attached herein as Exhibit 1.
The City of Kent looks forward to our continued partnership with ATS
in this important public safety program.

EXHIBIT I
Notice to Proceed
Reference is made to the Standard Professional Services Agreement by and between American
Traffic Solutions, Inc. ("ATS") and the City of Kent Washington ("City"), executed on or about May
30, 2013 (the "Agreement"). Capitalized terms used in this Notice to Proceed shall have the
meaning given to such term in the Agreement.
Pursuant to the provisions set forth under Exhibit 'C" — Designated Locations, additional cameras
shall be installed at the following locations (each, an "Additional Camera" and collectively, the
"Additional Cameras"):
1) Meadow Ridge Elementary School, 27710 108th Ave SE
- Southbound 108th Ave SE south of SE 274th St.
- Northbound 108th Ave SE in the vicinity of SE 279th St.
2) Spring brook Elementary School, 20035 100th Ave SE
- Eastbound S 200th St east of 98th Ave S.
- Westbound S 200th St west of 101st Ave SE.
The Service Fees for the Additional Cameras shall be as set forth under Section 5 of the
Agreement, and shall begin on the first day of the month following the first issued Citation from
each Additional Camera.
All other terms and conditions of the Agreement not expressly modified by this letter shall remain
in full force and effect.
IN WITNESS WHEREOF, City has executed this Notice to Proceed as of the date written below.
