THIS AGREEMENT is made between the City of Kent, a Washington municipal corporation (hereinafter the "City"), and JayRay ADS & PR, Inc organized under the laws of the State of Washington, located and doing business at 535 Dock Street, Ste. 205, Tacoma, WA 98402 (hereinafter the "Consultant"). I. DESCRIPTION OF WORK. Consultant shall perform the following services for the City in accordance with the following described plans and/or specifications: Consultant shall provide a marketing and outreach plan for Kent Parks, Recreation, & Community Services as set forth in Exhibits A-C, which are attached and incorporated herein. Consultant further represents that the services furnished under this Agreement will be performed in accordance with generally accepted professional practices within the Puget Sound region in effect at the time those services are performed. II. TIME OF COMPLETION. The parties agree that work will begin on the tasks described in Section I above immediately upon the effective date of this Agreement. Consultant shall complete all work described in Section I by December 20, 2018, and in accordance with the schedule set forth in Exhibit C. III. COMPENSATION. A. The City shall pay the Consultant, based on time and materials, an amount not to exceed Sixty two thousand nine hundred and sixteen dollars ($62,916), for the services described in this Agreement. This is the maximum amount to be paid under this Agreement for the work described in Section I above, and shall not be exceeded without the prior written authorization of the City in the form of a negotiated and executed amendment to this agreement. The Consultant agrees that the hourly or flat rate charged by it for its services contracted for herein shall remain locked at the negotiated rate(s) for a period of one (1) year from the effective date of this Agreement. The Consultant's billing rates shall be as delineated in Exhibit C. B. The Consultant shall submit monthly payment invoices to the City for work performed, and a final bill upon completion of all services described in this Agreement. The City shall provide payment within forty-five (45) days of receipt of an invoice. If the City objects to all or any portion of an invoice, it shall notify the Consultant and reserves the option to only pay that portion of the invoice not in dispute. In that event, the parties will immediately make every effort to settle the disputed portion. IV. INDEPENDENT CONTRACTOR. The parties intend that an Independent Contractor- Employer Relationship will be created by this Agreement. By their execution of this Agreement, and in accordance with Ch. 51.08 RCW, the parties make the following representations: CONSULTANT SERVICES AGREEMENT - 1 (Over$20,000) A. The Consultant has the ability to control and direct the performance and details of its work, the City being interested only in the results obtained under this Agreement. B. The Consultant maintains and pays for its own place of business from which Consultant's services under this Agreement will be performed. C. The Consultant has an established and independent business that is eligible for a business deduction for federal income tax purposes that existed before the City retained Consultant's services, or the Consultant is engaged in an independently established trade, occupation, profession, or business of the same nature as that involved under this Agreement. D. The Consultant is responsible for filing as they become due all necessary tax documents with appropriate federal and state agencies, including the Internal Revenue Service and the state Department of Revenue. E. The Consultant has registered its business and established an account with the state Department of Revenue and other state agencies as may be required by Consultant's business, and has obtained a Unified Business Identifier (UBI) number from the State of Washington. F. The Consultant maintains a set of books dedicated to the expenses and earnings of its business. V. TERMINATION. Either party may terminate this Agreement, with or without cause, upon providing the other party thirty (30) days written notice at its address set forth on the signature block of this Agreement. After termination, the City may take possession of all records and data within the Consultant's possession pertaining to this project, which may be used by the City without restriction. If the City's use of Consultant's records or data is not related to this project, it shall be without liability or legal exposure to the Consultant. VI. DISCRIMINATION. In the hiring of employees for the performance of work under this Agreement or any subcontract, the Consultant, its subcontractors, or any person acting on behalf of the Consultant or subcontractor shall not, by reason of race, religion, color, sex, age, sexual orientation, national origin, or the presence of any sensory, mental, or physical disability, discriminate against any person who is qualified and available to perform the work to which the employment relates. Consultant shall execute the attached City of Kent Equal Employment Opportunity Policy Declaration, Comply with City Administrative Policy 1.2, and upon completion of the contract work, file the attached Compliance Statement. VII. INDEMNIFICATION. Consultant shall defend, indemnify and hold the City, its officers, officials, employees, agents and volunteers harmless from any and all claims, injuries, damages, losses or suits, including all legal costs and attorney fees, arising out of or in connection with the Consultant's performance of this Agreement, except for that portion of the injuries and damages caused by the City's negligence. The City's inspection or acceptance of any of Consultant's work when completed shall not be grounds to avoid any of these covenants of indemnification. Should a court of competent jurisdiction determine that this Agreement is subject to RCW 4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of the Consultant and the City, its officers, officials, employees, agents and volunteers, the Consultant's duty to defend, indemnify, and hold the City harmless, and Consultant's liability accruing from that obligation shall be only to the extent of the Consultant's negligence. CONSULTANT SERVICES AGREEMENT - 2 (Over$20,000) IT IS FURTHER SPECIFICALLY AND EXPRESSLY UNDERSTOOD THAT THE INDEMNIFICATION PROVIDED HEREIN CONSTITUTES THE CONSULTANT'S WAIVER OF IMMUNITY UNDER INDUSTRIAL INSURANCE, TITLE 51 RCW, SOLELY FOR THE PURPOSES OF THIS INDEMNIFICATION. THE PARTIES FURTHER ACKNOWLEDGE THAT THEY HAVE MUTUALLY NEGOTIATED THIS WAIVER. In the event Consultant refuses tender of defense in any suit or any claim, if that tender was made pursuant to this indemnification clause, and if that refusal is subsequently determined by a court having jurisdiction (or other agreed tribunal) to have been a wrongful refusal on the Consultant's part, then Consultant shall pay all the City's costs for defense, including all reasonable expert witness fees and reasonable attorneys' fees, plus the City's legal costs and fees incurred because there was a wrongful refusal on the Consultant's part. The provisions of this section shall survive the expiration or termination of this Agreement. VIII. INSURANCE. The Consultant shall procure and maintain for the duration of the Agreement, insurance of the types and in the amounts described in Exhibit D attached and incorporated by this reference. IX. EXCHANGE OF INFORMATION. The City will provide its best efforts to provide reasonable accuracy of any information supplied by it to Consultant for the purpose of completion of the work under this Agreement. X. OWNERSHIP AND USE OF RECORDS AND DOCUMENTS. Original documents, drawings, designs, reports, or any other records developed or created under this Agreement shall belong to and become the property of the City unless otherwise expressly provided herein. Consultant, on the City's behalf, may arrange for the purchase from third parties the right to use original or stock photographs, illustrations, music, audio recordings, video recordings, and other intellectual or creative property. Consultant will consult with the City and purchase upon written preapproval the rights required for satisfactory completion of the work as directed by the City. These rights may restrict the City's use of the intellectual or creative property, such as for a set time period or specific use. All records submitted by the City to the Consultant will be safeguarded by the Consultant. Consultant shall make such data, documents, and files available to the City upon the City's request. The Consultant acknowledges that the City is a public agency subject to the Public Records Act codified in Chapter 42.56 of the Revised Code of Washington. As such, the Consultant agrees to cooperate fully with the City in satisfying the City's duties and obligations under the Public Records Act. The City's use or reuse of any of the documents, data, and files created by Consultant for this project by anyone other than Consultant on any other project shall be without liability or legal exposure to Consultant. XI. CITY'S RIGHT OF INSPECTION. Even though Consultant is an independent contractor with the authority to control and direct the performance and details of the work authorized under this Agreement, the work must meet the approval of the City and shall be subject to the City's general right of inspection to secure satisfactory completion. XII. WORK PERFORMED AT CONSULTANT'S RISK. Consultant shall take all necessary precautions and shall be responsible for the safety of its employees, agents, and subcontractors in the performance of the contract work and shall utilize all protection necessary for that purpose. All work shall be done at Consultant's own risk, and Consultant shall be responsible for any loss of or damage to materials, tools, or other articles used or held for use in connection with the work. XIII. MISCELLANEOUS PROVISIONS. A. Recyclable Materials. Pursuant to Chapter 3.80 of the Kent City Code, the City requires its contractors and consultants to use recycled and recyclable products whenever practicable. A price preference may be available for any designated recycled product. B. Non-Waiver of Breach. The failure of the City to insist upon strict performance of any of the covenants and agreements contained in this Agreement, or to exercise any option conferred by this CONSULTANT SERVICES AGREEMENT - 3 (Over$20,000) Agreement in one or more instances shall not be construed to be a waiver or relinquishment of those covenants, agreements or options, and the same shall be and remain in full force and effect. C. R_UgI uti,QL1. of Disputes and--Laver_ rrin Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Washington. If the parties are unable to settle any dispute, difference or claim arising from the parties' performance of this Agreement, the exclusive means of resolving that dispute, difference or claim, shall only be by filing suit exclusively under the venue, rules and jurisdiction of the King County Superior Court, King County, Washington, unless the parties agree in writing to an alternative dispute resolution process. In any claim or lawsuit for damages arising from the parties' performance of this Agreement, each party shall pay all its legal costs and attorney's fees incurred in defending or bringing such claim or lawsuit, including all appeals, in addition to any other recovery or award provided by law; provide , however, nothing in this paragraph shall be construed to limit the City's right to indemnification under Section VII of this Agreement. D. Written Natice. All communications regarding this Agreement shall be sent to the parties at the addresses listed on the signature page of the Agreement, unless notified to the contrary. Any written notice hereunder shall become effective three (3) business days after the date of mailing by registered or certified mail, and shall be deemed sufficiently given if sent to the addressee at the address stated in this Agreement or such other address as may be hereafter specified in writing. E. Assignment. Any assignment of this Agreement by either party without the written consent of the non-assigning party shall be void. If the non-assigning party gives its consent to any assignment, the terms of this Agreement shall continue in full force and effect and no further assignment shall be made without additional written consent. F. Modification. No waiver, alteration, or modification of any of the provisions of this Agreement shall be binding unless in writing and signed by a duly authorizedrepresentative of the City and Consultant. G. Entire Agreement. The written provisions and terms of this Agreement, together with any Exhibits attached hereto, shall supersede all prior verbal statements of any officer or other representative of the City, and such statements shall not be effective or be construed as entering into or forming a part of or altering in any manner this Agreement. All of the above documents are hereby made a part of this Agreement. However, should any language in any of the Exhibits to this Agreement conflict with any language contained in this Agreement, the terms of this Agreement shall prevail. H. Compliance with Laws. The Consultant agrees to comply with all federal, state, and municipal laws, rules, and regulations that are now effective or in the future become applicable to Consultant's business, equipment, and personnel engaged in operations covered by this Agreement or accruing out of the performance of those operations. I. Public Records Act. The Consultant acknowledges that the City is a public agency subject to the Public Records Act codified in Chapter 42.56 of the Revised Code of Washington and documents, notes, emails, and other records prepared or gathered by the Consultant in its performance of this Agreement may be subject to public review and disclosure, even if those records are not produced to or possessed by the City of Kent. As such, the Consultant agrees to cooperate fully with the City in satisfying the City's duties and obligations under the Public Records Act. I. City Business License....R qui'red. Prior to commencing the tasks described in Section I, Contractor agrees to provide proof of a current city of Kent business license pursuant to Chapter 5.01 of the Kent City Code. K. gounterparts and Signatures by Fax or Email. This Agreement may be executed in any number of counterparts, each of which shall constitute an original, and all of which will together constitute this one Agreement. Further, upon executing this Agreement, either party may deliver the signature page to the other by fax or email and that signature shall have the same force and effect as if the Agreement bearing the original signature was received in person. Parks, Recreation and Community Services I)e artment, The Plan shall include a collective roll-up of public recreation and park/open space experiences for all that the department offers, including, but not limited to collective marketing elements such as website, social media applications, park and open space guides, outcome/benefit messaging, integration and brand development as an essential service to the City, and integration into other City marketing and communication plans. In addition, Consultant shall review of the department's 501(c)(3) partner, the Kent Parks Foundation, and its integration into all marketing collateral, as well as how the Foundation promotes and markets philanthropy opportunities, etc. 2. Recreatiio.n._an.d._Cultural Services D vj' ion, The Plan will address athletic programs and tournaments, performing arts, community education, senior programs, youth programs, special events, picnic and public use permitting, facility and space rentals, adaptive recreation programs, summer/day camps, etc. 3. Ho inq and H m n Services Division. Kent's Human Services division works closely with its community partners; (e.g., local, state, and federal government; foundations, and non-profit organizations) to respond to emerging needs and to provide services to Kent's most vulnerable residents. The challenge lies in reaching a culturally diverse audience that includes English Language Learners and residents that may not have internet access or use mainstream communication platforms. The Plan should provide strategic action items, operational steps and outcomes in table format to facilitate the City's ability to efficiently implement the Plan. All strategies should be integrated to ensure consistency across printed materials, web pages, emails, social media and news media outreach and should be sustainable over a long-term period. The Plan should specifically include the following tasks: A. Develop a four-year action plan, with investment returns identified and key deliverables and milestones established. B. Review current marketing methods and outreach results to evaluate return on investment, including review of in-kind or sponsorship logo saturation, consistency, perceived value, etc. C. Propose recommendations on strategies needed to address consistency in sponsorship, in-kind logo placement and value of impressions. D. Identify community demographic and socio-economic data to support the proposed marketing and outreach plan. E. Identify target audiences and recommend marketing channels to increase awareness among them, placing emphasis on reaching a diverse culture and community. F. Provide advice and recommendations for citywide marketing strategies to extend customer reach, expand customer base and increase earned revenue. G. Identify potential new marketing channels that allow leveraging of marketing funds to go further and for additional stakeholders to be developed. H. Propose key messaging to increase community awareness of Kent Parks, Recreation and Community Services' unique contribution to personal, social, economic and environmental outcomes and benefits. I. Propose strong, identifiable, relevant messaging to improve citywide awareness of programs, events and services offered. J. Propose recommendations on how the department can maintain its unique identity as a parks, recreation and community services provider, while also integrating and complementing other unique brands throughout the City of Kent government. K. Conduct an audit to benchmark PRSC's status via its social media and online presence; provide clear guidelines for developing successful social media engagement strategies which should be as comprehensive as possible within the constraints that budget and limited staff/volunteer time required including whether to consolidate social media handles, how to increase and/or reach new audiences; development of recommendations regarding the use of any new social media platforms; creation of guidelines to measure overall efforts to track audience reach and engagement. L. Recommend an approach to a comprehensive evaluation criterion, measuring the performance of marketing strategy and/or media/collateral, etc. M. Recommend specific outreach strategies related to engaging traditionally underserved residents. N. Provide a detailed budget of additional costs to the City in order to implement a Marketing and Outreach Plan, aligned with a pre-established four-year phased approach. In the performance of the services required by this Agreement, it may be necessary for Consultant to purchase printed materials, photography, media advertising, and other goods and/or services to carry out approved advertising/public relations programs on the City's behalf. In doing so, Consultant will act only as the City's agent, and liability for payment for any goods and/or services remains with the City. Prior to any purchase, the Consultant will provide the City with pricing information and receive prior written approval from the City for any such purchase. Experience in the fields of parks, recreation, and human services is preferred. The City of Kent has an in-house graphic design and multimedia/communications division that will work collaboratively with the Department of Parks, Recreation and Community Services to begin implementing recommended strategies arising from this plan.This RFP does not cover the actual creation of ads,websites, exhibit artwork, collateral materials, or other tools that will be used in the implementation of the marketing plan, Rather, this RFP is focused on the creation of the strategies that guide the implementation phase. It. SCOPE OF SERVICES The selected consultant will work with the Parks, Recreation and Community Services Department to create a Marketing and Outreach Plan, using existing data, any required new data, best practices and creativity in collaboration and alignment with the parks, recreation and human service industries and community stakeholders. The Marketing and Outreach Plan should be conducted in such a way as to allow the City, in collaboration with key stakeholders, to guide and inform its decision-making process in terms of advertising, branding and marketing programs, priorities, strategies and tactics. Primary tasks and expectations of the final deliverable will include development of an integrated, phased plan that includes the items listed below. Within the department, the following areas will be included within the scope of this plan,with all detailed scope elements below addressed for each area: Page 2 1. Parks Recreation and Community Services Department. Includes a collective roll-up of public recreation and park/open space experiences of all the department has to offer, including, but not limited to collective marketing elements such as website, social media applications, park and open space guides, outcome/benefit messaging, integration and brand development as an essential service to the City, integration into other City marketing and communication plans. In addition, review of the department's 501(c)(3) partner, the Kent Parks Foundation, and its integration into all marketing collateral, as well as how the Foundation promotes and markets philanthropy opportunities, etc. 2. Recreation and Cultural Services. Includes athletic programs and tournaments, performing arts, community education, senior programs, youth programs, special events, picnic and public use permitting, facility and space rentals, adaptive recreation programs, summer/day camps, etc. 3. Housina and Human Services. Kent's Human Services division works closely with its community partners; (e.g., local, state, and federal government; foundations, and non-profit organizations) to respond to emerging needs and to provide services to Kent's most vulnerable residents. The challenge lies in reaching a culturally diverse audience that includes English Language Learners and residents that may not have internet access or use mainstream communication platforms. DETAILED SCOPE ELEMENTS FOR ITEMS 1-3 ABOVE: The Plan should provide strategic action items, operational steps and outcomes in table format to facilitate the City's ability to efficiently implement the Plan. All strategies should be integrated to ensure consistency across printed materials, web pages, emails, social media and news media outreach and should be sustainable over a long-term period. A. Develop a four-year action plan,with investment returns identified and key deliverables and milestones established. B. Review current marketing methods and outreach results to evaluate return on investment, including review of in-kind or sponsorship logo saturation, consistency, perceived value, etc. C. Propose recommendations on strategies needed to address consistency in sponsorship, in-kind logo placement and value of impressions. D. Identify community demographic and socio-economic data to support the proposed marketing and outreach plan. E. Identify target audiences and recommend marketing channels to increase awareness among them, placing emphasis on reaching a diverse culture and community. F. Provide advice and recommendations for citywide marketing strategies to extend customer reach, expand customer base and increase earned revenue. G. Identify potential new marketing channels that allow leveraging of marketing funds to go further and for additional stakeholders to be developed. H. Propose key messaging to increase community awareness of Kent Parks, Recreation and Community Services' unique contribution to personal, social,economic and environmental outcomes and benefits, Page 3 I. Propose strong,identifiable, relevant messaging to improve citywide awareness of programs,events and services offered. J. Propose recommendations on how the department can maintain its unique identity as a parks, recreation and community services provider,while also integrating and complementing other unique brands throughout the City of Kent government. K. Conduct an audit to benchmark PRSC's status via its social media and online presence; provide clear guidelines for developing successful social media engagement strategies which should be as comprehensive as possible within the constraints that budget and limited staff/volunteer time required including whether to consolidate social media handles, how to increase and/or reach new audiences; development of recommendations regarding the use of any new social media platforms; creation of guidelines to measure overall efforts to track audience reach and engagement. L. Recommend an approach to a comprehensive evaluation criterion, measuring the performance of marketing strategy and/or media/collateral, etc. M. Recommend specific outreach strategies related to engaging traditionally underserved residents. N. Provide a detailed budget of additional costs to the City in order to implement a Marketing and Outreach Plan, aligned with a pre-established four-year phased approach. III. KEY DELIVERABLES The selected Consultant will be expected to deliver the following. 1. Initial Meeting.The Consultant and representatives of PRCS shall meet to go over the proposed schedule and plan, including responsibilities, the scope of work and deliverables. 2. Prd'e�ct f gn. Based on the schedule and the initial meeting, the Consultant shall prepare a project plan, outlining the process for conducting the scope of the work outlined, including any methodologies to achieve identified objectives. PRCS will review and approve the plan before work starts. 3. S4akehf?kder En a ement. Engage with key stakeholders (included but not limited to Arts Commission, Human Services Commission, Parks and Recreation Commission) and departmental/City staff to determine objectives and targets to be met by the marketing and outreach plan. 4. Research.The Consultant shall perform additional research, if necessary, using approved methodologies and practices. If in conducting this research, the Consultant shall find any statistical anomalies or other inconsistencies, irregularities or concerns with the data or the methodology used, they shall notify PRCS in writing and propose solutions prior to the due date for any identified deliverable in the project plan. 5. Draft tEng_and_Outreach Plan.The Consultant shall provide a draft Marketing and Outreach Plan for review according to the agreed upon schedule and scope details in Section II.This draft plan will serve as a framework upon which additional detail will be added to create the final Marketing and Outreach Plan. PRCS representatives shall have sufficient time to review the draft plan, make any changes/additions/recommendations to it and ask for further clarifications if needed. Page 4 6. Based on the draft Marketing and Outreach Plan and input from PRCS, the Consultant shall prepare a final detailed, Marketing and Outreach Plan, complete with any supporting data, charts, graphs and analysis covering key findings, strategies, tactics and recommendations. PRCS representatives shall have sufficient time to review the final marketing plan and request any changes/additions or ask for further clarifications.The final approved plan will be submitted in an electronic, editable version as well as a pdf version. 7. Final Presentation.The consultant shall meet with representatives of PRCS and/or present to City Council to share the information contained in the final Marketing Plan,identify key findings and answer questions. 8. Meetings. During the initial meeting, PRCS and Consultant will work together to determine appropriate timing of when meetings may be required throughout the process. Estimated that a minimum of 2-3 meetings will be required. IV. INSTRUCTIONS A. Pre-Response Information and Questions: Each response received by the submittal deadline will be evaluated on its merits and completeness of all requested information. In preparing responses, Consultants are advised to rely only upon the contents of this RFP and accompanying documents and any written clarifications issued by the City of Kent. If a Respondent finds a discrepancy, error or omission in the RFP package, or requires any written addendum thereto, the Respondent is requested to notify the Point of Contact noted in this RFP, so that written clarification may be provided to all prospective Consultants. City of Kent staff is not responsible for, and Respondents shall not rely upon,any verbal instructions. B. RFP Modifications: Clarifications, modifications, or amendments may be made to the RFP at the discretion of the City of Kent. C. Response Submission: To be considered, the indicated number of copies of the response must be prepared in the manner and detail specified in this RFP. I) Responses must be hand delivered or mailed to Brian Levenhagen, Deputy Director, and be received by the deadline indicated in this RFP. It is each Consultant's responsibility to ensure that its response is received by the City of Kent prior to the deadline. 2) Submission of a response demonstrates that the Consultant is thoroughly familiar with this RFP. By submitting a response, the Consultant warrants that it understands and agrees to abide by each and all of the stipulations and requirements contained therein. 3) All documentation submitted with the response will become the property of the City of Kent. V. TERMS AND CONDITIONS An overall budget has not been determined and respondents of the RFP should do their best to accurately price their work. The City of Kent reserves the right to reject any and all responses to this RFP and to waive irregularities and informalities in the submittal and evaluation process.This solicitation for Consultant Services does not obligate the City of Kent to pay any costs incurred by respondents in the preparation and submission of a response. This solicitation does not obligate the City of Kent to accept or contract for any expressed or implied services. Furthermore, the City of Kent reserves the right to award the contract to the next most qualified Consultant if the selected Consultant does not execute a contract within thirty (30) days after the award of the proposal. Provided services should have well-formulated procedures. 2. The approach should be well-designed and executed utilizing industry standards and best practices. 3. Any new research and subsequent analysis should be methodologically sound. 4. The resulting Marketing and Outreach Plan should support the advancement of knowledge of the City of Kent's Parks, Recreation and Community Services programs and services. 5. The resulting Marketing and Outreach Plan should be relevant to industry standards, historical, current and predictive standpoints. 6. The Marketing and Outreach Plan should be objective, independent and balanced. 7. Research, analysis and assumptions used in the plan should be verifiable and defensible to peer review and audit. VI. MATERIALS AND SERVICES PROVIDED BY CITY The City of Kent will provide the following material and services to the selected Consultant: A. City of Kent Branding and Marketing Presentation B. Visit Kent marketing materials C. City of Kent Communications Plan D. Coordination with key stakeholder groups E. Rooms for meetings F. Examples of current/past marketing collateral used where applicable G. Access to social media demographic and other data H. 3-year history of historic spending on marketing materials and collateral VI. SUBMITTAL REQUIREMENTS A. Cover Letter: A cover letter from the lead Consultant containing the name, address, and daytime phone number(s) and e-mail contacts for the lead Consultant and any partnering Consultant(s). The lead Consultant's primary contact person shall be identified along with any individuals who will be authorized to act in behalf of the Consultant and any partnering Consultant(s). The letter shall bear the signature of the person authorized to act as the legal agent of the principal Consultant. B. Basic Consultant information: 1) Organizational background. 2) Key members of the project team. 3) Location of the facility from which the selected Consultant/project team would operate, C. Availability: A description of the availability of the Consultant, its partnering Consultant(s), and key staff to provide services in a timely manner. D. The Consultant's proposed approach to the project, the Consultant's approach includes a complete description of the Consultant's proposed approach and methodology for the project. This section should convey the Consultant's s understanding of the proposed project. Page 6 E. A proposed schedule, demonstrating the Consultant's ability to meet the city's deadline for completion of the plan, demonstrates the Consultant's ability to ensure participation, and buy in from, key stakeholders and key leadership staff within the Parks, Recreation and Community Services Department, F. Examples of prior work that demonstrate the ability of the Consultant to meet the objectives of the project; examples demonstrating knowledge within parks, recreation, human services and/or golf, including references. G. Submittal will include a maximum of 25 pages. H. A detailed breakdown of the proposed fees/costs to complete the plan as well as the Consultant's fee rates for staff assigned to the project. Identify all costs in U.S. dollars including expenses to be charged for performing the services necessary to accomplish the objectives and scope of the contract.The Consultant is to submit a fully detailed budget including staff costs and any expenses necessary to accomplish the tasks and to produce the deliverables under the contract. The breakdown of the proposed fee should be tied to the scope of services listed in within this RFP and include an estimated amount of time for completion of each main item listed in the scope, as well as any optional elements which can be added to the scope of work with mutual consent of the Parks, Recreation and Community Services Department and Consultant. A. Minimum Scope of Insurance Consultant shall obtain insurance of the types described below: 1. Automobile Liability insurance covering all owned, non- owned, hired and leased vehicles. Coverage shall be written on Insurance Services Office (ISO) form CA 00 01 or a substitute form providing equivalent liability coverage. If necessary, the policy shall be endorsed to provide contractual liability coverage. Commercial General Liability insurance shall be written on ISO occurrence form CG 00 01. The City shall be named as an Additional Insured under the Consultant's Commercial General Liability insurance policy with respect to the work performed for the City using ISO additional insured endorsement CG 20 10 11 85 or a substitute endorsement providing equivalent coverage. 2. Workers' Compensation, coverage as required by the Industrial Insurance laws of the State of Washington. B. Minimum Amounts of Insurance Consultant shall maintain the following insurance limits: 1. Automobile Liability insurance with a minimum combined single limit for bodily injury and property damage of $1,000,000 per accident. 2. Commercial General Liability insurance shall be written with limits no less than $1,000,006 each occurrence, $2,000,000 general aggregate. EXHIBIT m (Continued) C. Other Insurance Provisions The insurance policies are to contain, or be endorsed to contain, the following provisions for Automobile Liability and Commercial General Liability insurance: 1. The Consultant's insurance coverage shall be primary insurance as respect the City. D. Acceptability of Insurers Insurance is to be placed with insurers with a current A.M. Best rating of not less than ANII. E. Verification of Coverage Consultant shall furnish the City with original certificates and a copy of the amendatory endorsements, including but not necessarily limited to the additional insured endorsement, evidencing the insurance requirements of the Consultant before commencement of the work. F. Subcontractors Consultant shall include all subcontractors as insureds under its policies or shall furnish separate certificates and endorsements for each subcontractor.
