ATTORNEYS FEE, AGREEMENT
This ATTORNEY- CLIENT FEE AGREEMENT is entered into between the City of Kent,
herein referred to as "Client,"and Stephanie Croll Law,herein referred to as"Law Firm."
SCOPE AND DUTIES. Client hires Law Firm to provide legal services as required by Client in
connection with-,

2-30868-0 KNT. Law Firm shall at all times faithfully and to the best of its ability and experience provide
those legal services reasonably required to represent Client,pursuant to the terms ofthis Agreement and the
Rules of Professional Responsibility. Law Firm shall keep Client informed of progress and respond to
Client's inquires. Client shall cooperate with Law Firm, keep Law Firai informed of developments, and
otherwise abide by the ten-ns ofthis Agreement.
LEGAL FEES. Stephanie Croll, Attomey-at-Law, is the sole proprietor of Law Firm. Client
agrees to pay for legal services performed by Stephanie Croll at her current hourly rate of$260. This rate
will remain in effect for at least twelve montbs fi-orn the effective date of this Agreement. All services are
billed in increments of.I hour. Fees shall include time expended for services such as court appearances,
conferences, telephone calls, email, correspondence, travel, legal research, preparation of documents and
any other activities necessary for proper representation of Client Law firm will not bill client however,for
travel to and from Client's office if those trips are incurred in the regular course of representation.esentation.Law Finn
reserves the right to periodically review and adjust Ms. Croll's hourly rate. Law Finn agrees that if it
increases this rate,then Client and Law Finn will enter into a Supplemental Agreement in writing to agree
upon the new rate for this matter,and the date upon which the new rate shall.become effective.
ASSOCIATE AT-fORNEYS, PARALEGALS AND INTERNS. Law Firm may hire additional
attorneys who may support Ms. Croll on this matter in the future if,to the best of Law Firm's knowledge,
they are licensed by the State of Washington and in good standing with the Washington State Bar
Association. Law Firm may also hire paralegals and/or legal interns who may work on this matter in the
future. Ms. Croll is the primary attorney for the legal work referenced in this Agreement, and no other
attorney will become the primary attorney without the Client"s prior written authorization,Law Finii agrees
that if additional attorneys,paralegals or legal interns are hired,then Client and Law Firm will enter into a
Supplemental Agreement in writing to agree upon and establish their rate(s)of compensation.
COSTS AND EXPENSES. In addition to paying legal fees,Client shall reimburse Law Finn for
all costs and expenses incurred by Law Firm,including,but not limited to, filing fees,process servers!fees,
fees fixed by law or assessed by courts or other agencies, deposition costs, messenger and other delivery
fees, postage, in-office printing and/or copying at$0.50 per page, parking, investigation expenses, and, if
retained, consultants' fees, expert witness fees, and other similar item. Law Firm may need to retain the
services of another professional consultant and/or expert witness(e.g.,certified public accountant,real estate
appraiser,psychological evaluator,independent medical evaluator, etc.),which Law Firm deems necessary
for the preparation of the case. Before retaining another professional consultant and/or expert witness Law
Firm shall first obtain authorization to do so from Client.

STATEMENTS. Law Firm shall send Client staternents for fees and costs incurred. Client shall.
pay Law Firm's statements within 45 days after receipt Client understands that interest at the rate of six
percent(60/6)per annum will be charged on all fees,cost or expenses not paid in full within(45)days. In the
event of a dispute, Client shall pay any arnount not in dispute, and the parties shall meet to resolve any
differences. If the parties are unable to resolve any such diffierences, the parties shall submit the disputed
amount to the Fee Arbitration Board of the ''Washington State Bar Association for arbitration and prompt
resolution. The parties agree to be bound by such arbitration.
DISCLAIMER OF GUARANTEE. Nothing in this Conti-act and nothing in Law FinWs
statements to Client shall be construed as a promise or guarantee about the outcorne of Client's matter. Law
Firm makes no such promises or guarantees. Client acknowledges being advised of the unpredietability of
court decisions(if this matter goes to court). Client understands that despite Law Firm's best efforts,there is
no guarantee of the outcome of this matter. An opinion may be rendered as to the probability of success or
failure in this matter,but such opinion is not a guarantee ofresults.
