AGREEMENT FOR AWARD
OF ICING CONSERVATION DISTRICT MEMBER JURISDICTION GRANT

This Agreement is made between the King Conservation District Number 9, a municipal corporation in
King County, Washington, located at 1107 SW Grady Way, Suite 130, Renton, WA 98057 (referred to herein as
"District"), and the City of Kent, a municipal corporation in King County, Washington, located at 200 Fourth
Avenue South, Kent, WA 98032-5895 (referred to herein as "Recipient"), for the purposes set forth herein.
SECTION 1. RECITALS
1.1 Whereas,the District is a special purpose district organized and existing under authority of Chapter
89.08 RCW which engages in certain activities and programs to conserve natural resources, including soil and
water, which activities are declared to protect and promote the health, safety, and general welfare of the people
of the state of Washington; and
1.2 Whereas, pursuant to RCW 89.08.400 and/or RCW 89.08,405, King County has authorized and
imposed a system of assessments and/or a system of rates and charges to finance the activities and programs of
the District; and
1.3 Whereas, pursuant to RCW 89.08.220 and RCW 89.08.341 the District is authorized to enter into
agreements with, or to furnish financial or other aid to, municipal entities and agencies (governmental or
otherwise), or their designees, or any occupier of lands within the District, in order to carry out and facilitate the
activities and programs of the District to conserve natural resources; and
1.4 Whereas, the District has reviewed the grant application submitted by Recipient and has
determined that the application meets the requirements of Chapter 89.08 RCW and the District's policies and
procedures for awarding grants; and
1.5 Whereas, the District and Recipient desire to enter into this Agreement for the purpose of
establishing the terms and conditions relating to the District's award of a grant to Recipient.
SECTION 2. AGREEMENT
2.1 The District agrees to award Recipient a grant in the total amount of Fifty-Seven Thousand and
No/100 Dollars($57,000.00) from KCD-Kent 2016-17 Collections. Grant funds shall be used by Recipient solely
for the performance of the work described in Exhibit A which is attached hereto and incorporated herein by this
reference. The District shall pay the grant funds to Recipient in accordance with the District's policies and
procedures, or as otherwise provided herein, including but not limited to, the policies and procedures contained
in the grant program guidelines, provided that such funds have been collected and received by the District.
2.2 Recipient represents and warrants that it will only use the grant funds for the work described in
Ex.bibht A, which may be amended by the parties pursuant to Paragraph 3.3 of the Agreement. Recipient shall
be required to refund to the District that portion of any grant funds which are used for unauthorized work. Further,
Recipient agrees to return to the District any grant funds that are not expended or remain after completion of the
work covered by this Agreement.
2.3 Recipient acknowledges and agrees that the grant funds may only be expended on work which
shall be entirely within the District's jurisdictional boundaries. The following municipal entities are not within

the District's jurisdictional boundaries: Enumclaw, Federal Way, Milton, Pacific, and Skykomish. Recipient
shall be required to refund to the District that portion of any grant funds which are used for work performed
outside the District's jurisdictional boundaries.
2.4 In the event the scope of work authorized by this Agreement includes the use of grant funds to
purchase houses located on real property within a flood hazard area, Recipient acknowledges and agrees that grant
funds may only be used for such purposes if the houses to be purchased were constructed before floodplain
mapping or sensitive areas regulations were in place for that area. Recipient shall be required to refund to the
District that portion of any grant funds which are used for unauthorized purposes.
2.5 Recipient shall be required to provide the District with regular financial and project progress
reports for the duration of the project. Grant funds are remitted to the Recipient on a reimbursement payment
basis. Project progress reports must be submitted with each reimbursement request. Project progress and financial
reports, along with the final narrative and financial summary reports shall be submitted through the District's
online grant portal. The Recipient shall be required to submit to the District a final report which documents the
Recipient's completion of the work in conformance with this Agreement within thirty (30) days after the
completion of the work. The final report shall, among other things, summarize the project's successes and shall
address the regional benefits accomplished by the work. The final report shall also identify any obstacles or
challenges which were encountered during the work, along with general recommendations regarding ways to
avoid such obstacles or challenges in the future. If requested, Recipient agrees to provide the District with
additional financial or progress reports from time to time, at reasonable intervals.
2.6 Recipient's expenditures of grant funds shall be separately identified in the Recipient's accounting
records. If requested, Recipient shall comply with other reasonable requests made by the District with respect to
the manner in which project expenditures are tracked and accounted for in Recipient's accounting books and
records. Recipient shall maintain such records of expenditures as may be necessary to conform to generally
accepted accounting principals and to meet the requirements of all applicable state and federal laws.
2.7 if the Recipient is a Washington municipal agency, Recipient shall be required to track project
expenses using the Budget Accounting and Reporting System for the State of Washington("BARS").
2.8 The District or its representative shall have the right from time to time, at reasonable intervals, to
audit the Recipient's books and records in order to verify compliance with the terms of this Agreement. Recipient
shall cooperate with the District in any such audit.
2.9 Recipient shall retain all accounting records and project files relating to this Agreement in
accordance with criteria established in the Revised Code of Washington and the Washington State Archivist.
2.10 Recipient shall ensure that all work performed by Recipient or its employees, agents, contractors
or subcontractors is performed in a manner which protects and safeguards the environment and natural resources
and which is in compliance with local, state and federal laws and regulations. Recipient shall implement an
appropriate monitoring system or program to ensure compliance with this provision.
2.11 Recipient agrees to indemnify, defend and hold harmless the District, its elected or appointed
officials, employees and agents, from all claims,alleged liability,damages,losses to or death of person or damage
to property allegedly resulting from the negligent or intentional acts of the Recipient or any of its employees,
agents, contractors or subcontractors in connection with this Agreement.
2.12 Recipient agrees to acknowledge the District as a source of funding for this project on all literature,
signage or press releases related to said project.

2.13 Recipient shall notify the District if Recipient intends to sell, salvage, or otherwise dispose of any
equipment purchased with grant funds. The proceeds received by Recipient from any sale, salvage or disposition,
or the value of the equipment if proceeds were not received from any such action, must be: (a) re-invested back
into the originally awarded project; (b) invested in a similar project with District approval; or (c) returned to the
District.
SECTION 3. GENERAL PROVISIONS
3,1 This Agreement shall be binding upon and inure to the benefit of the parties hereto and their
respective successors and assigns.
3.2 This Agreement constitutes the entire agreement between the parties with respect to the subject
matter hereof. No prior or contemporaneous representation, inducement, promise or agreement between or among
the parties which relate to the subject matter hereof which are not embodied in this Agreement shall be of any
force or effect.
3.3 No amendment to this Agreement shall be binding on any of the parties to this Agreement unless
such amendment is in writing and is executed by the parties. The parties contemplate that this Agreement may
from time to time be modified by written amendment which shall be executed by duly authorized representatives
of the patties and attached to this Agreement.
3.4 Each party warrants and represents that such party has full and complete authority to enter into
this Agreementand each person executing this Agreement on behalf ofa party warrants and represents that he/she
has been fully authorized to execute this Agreement on behalf of such party and that such party is bound by the
signature ol'such representative.

Project Description- Member Jurisdiction*

The City of Kent is requesting assistance from KCD to continue implementing the Green Kent Partnership.
This will be the 9th.year of the Green Kent Partnership. As we move further into our restoration program,we
continue to carefully manage our work.Some time must be spent monitoring and managing areas already

entered into restoration,as we are committed to not going loosing ground. Some time must also be dedicated
to entering new areas into phase one restoration. We manage these competing priorities by revisiting our
work sites on a rotating basis to check for regrowth of invasive plants,while also carefully considering new
areas that can be brought into restoration. Our city parks and public works staff frequently monitor and
report areas of invasive regrowth,while also suggesting sites for phase one restoration. Our volunteer park
stewards are very active at their chosen sites and are frequently monitoring conditions and coming up with
suggestions for new areas to work in. It is through this integrated team approach,that we arc able to
maintain our successful program.
Green Kent continues to see additional community interest and attendance at our weekly volunteer
events.With the help of our current grant through KCD, to date we have counted over 2,000 volunteer hours
and 700 volunteers. We are on target to meet our goals for phase 1 restoration with 1/2 of an acre entered
into stewardship.We continue to work in areas under phase two and phase three restoration with a total of
3.5 acres maintained to date.We continue to manage 30 volunteer park stewards who are very engaged with
Green Kent and committed to restoration.Our Green Kent Intern added value to our program this summer.
Our intern attended 10 volunteer events,created a Green Kent best management practices booklet,assisted
with volunteer management,managed our social media posts with daily updates,researched the best way to
deal with a new invasive plant(Japanese Honeysuckle) and assisted with our cornucopia days outreach
booth. Forterra continued to be a valued Green Kent partner.Their participation in our management team
meetings and guidance in updating our 20 year plan is very valuable. This winter our contracted crews from
both Earth Corps and WCC will help us to make restoration progress where
inappropriate for volunteers.
During year nine King Conservation District funds will specifically help us continue Green Kent by: 1)
Continuing to engage the community in volunteer based efforts to care for their public natural areas,2)
enrolling 1 to 3 new acres into phase 1 restoration, 3)maintaining and monitoring the acres already in phases
two and three of restoration to ensure that invasive plants removed in phase one are not re-growing,4)
Target our work at sites that are seeing regrowth of invasive plants, 5) support 20 stewards with a Green
Kent temporary,6)Achieve a goal of 4500 volunteer hours, 7) Provide an internship to a capable college
student or recent graduate with a natural resources or similar major,8) Augment Staff/Steward restoration
work with contracted crew support and 9) continue our regional partnership with Forterra.
How/Why: The Green Kent Temporary Employee plays a major role in coordinating the stewardship
component of the Partnership and tracking overall restoration progress. The temporary 1) is the primary
coach for Stewards,2) serves as their liaison to Park Operations staff,3) coordinates all work parties,4)
enters work logs into GIS, 5) researches and drafts planting and conservation action plans, 6) monitors and
maps plant survival, 7) contributes to the quarterly e-newsletter, 8) organizes an outreach booth at Kent's
three-day Cornucopia Days festival,9) solicits local business support, 10) participates on the management
team. 11) provides daily mentoring to interns. 12)supports the overall program to ensure success.
A portion of the Parks Capital Project Manager's time is funded by KCD to provide overall program
administration,apply for the grant,promote the partnership, manage the budget,manage volunteers at larger
events,handle reporting and reimbursement requirements.
The Green Kent intern will assist the Green Kent Temporary Employee with a wide variety of assignments
to include 1)The intern will be in the field serving as the crew lead for five high school interns funded by a
separate grant. 2) supporting community volunteer events and work parties,3) compiling photo
documentation of progress,4) maintaining the tool inventory,5) assisting with GIS mapping,6) conducting
outreach activities, 7) supporting special projects,e.g. research for conservation action plans,best
management practices and 7) participating in planning and site meetings. 8) assisting with planting plans
Contracted crews supplement volunteers and staff efforts by conducting fieldwork in areas that are not
suitable for volunteers.This year's budget maintains our ability to go after invasive plants in hard to reach
areas.This year we will contract with Earth Corps to work in areas that are no appropriate for volunteers.

Founding partner Forterra provides regional support and heightens Kent's presence as a Green City.A
Forterra liaison participates quarterly in management team meetings and at a steward orientation. Forterra
informs city staff of upcoming trainings and potential new funding opportunities,and provides letters of
support if appropriate. Forterra promotes the Green Kent Partnership regionally to the media,general public
and during Green Cities Days. Work is outlined in proposed SOW attached to this application.

The Green Kent Partnership is nearing a milestone and will reach itsten-year anniversary in 2019. Kent has been
one of the strongest and most involved of the green cities. With strong staff involvement complemented by
Forterra support contract a lot of work has been accomplished. Kent also has a strong interdepartmental
collaboration between parks and public works which greatly enhances the success of the overall program.
Kent has also placed a lot of value in the regional interaction and sharing of ideas across the green cities network.
Focus groups, regional press releases and a general sense of how all green cities can learn from and build their
programs together has created a unique and successful regional collaboration. This network continues to grow
and is now at nine total cities. Forterra has a goal to add one new green city annually.
As 2019 approaches Kent will continue to focus on ensuring the Green Kent Partnership remains an effective and
efficient program. More than 50 events are scheduled yearly and Forterra provides that regional presence and
support that allows volunteers and stewards a connection to the 'big' picture and an understanding of the
significant of the work both ecologically and community wise. This year Forterra will conduct four steward
trainings to help these important volunteers gain the resources and knowledge to feel and act in a successful way.
Many of Kent's stewards are youth and young adults seeking their place in the world. Forterra brings a strong
background to help mentor and guide them along their path.
Under this agreement, Forterra will provide the services described below at the rates shown in the table on page
3.
Forterra's Responsibilities and Deliverables
• Green Kent Steward Orientation: Forterra staff will participate in the 2018/2019 Green Kent Steward
orientation, presenting the background behind the Green City Partnerships including Forterra's regional
connection through the Cascade Agenda mission, and providing a sense of the geographic scope and
impact that new Kent Stewards will be contributing to by summarizing regional statistics.
• Quarterly management team regional updates: Forterra staff will attend one Green Kent management
team meeting per quarter to update partnership staff on upcoming training and education opportunities
for Kent Stewards across the regional Green Cities Network, and coordinate any potential grant proposal
ideas that will contribute to achieving the Green Kent Partnership's goals.
• Regional Green City Day series outreach support: Forterra will coordinate one regional press release
about the Green City Day fall series that will highlight the efforts of all cities holding an annual Green City
Day. The regional scope of this press release will position Kent's work as part of a larger effort, providing
a broader reach and more awareness. Forterra will also provide support on the day of Green Kent Day to
include but limited to securing refreshments for volunteers and helping to lead tasks as directed by Kent
staff.
• provide Articles for six newsletters: Forterra will provide six articles for inclusion in Kent's monthly
newsletter.Articles will address native plants, invasive plants,emerging issues within urban forestry, best
management practices and other topics related to restoration. Article will be provided electronically to
city staff by the 15`h of each month on the six mutually agreed upon months.

• provide support for Two Additional Events: Forterra will provide volunteer management and staff
support for two additional volunteer events. These events include Kent's Arbor Day November 17 and
Green Kent Earthday April 21.
• Provide Mapping and GlS Technical Support: Forterra will provide technical assistance to
Desiree (and other city staff) and help determine the best way to utilize GIS for Green Kent. This
will include but not limited to creating phase maps, update lands, creating planting plans and
other information to help manage and track Green Kent Partnership activities.
• Educakionall tiraiuruiinnl s for Stewards,: Forterra will organize and host Four continuing education
trainings for Green Kent stewards that will enhance steward knowledge about restoration best
practices, volunteer event management, western Washington ecology, native plant identification
and uses, plant propagation techniques, and/or other practical topics that could include things like
small grant proposal writing and how to engage in the public process.
