Saturday, February 2, 2018. ................. .. .... ........ ....._. ------- ----...._.. . .... .. adcc W 10877_„8,,,,14 KENT W CSHiry�rory CONTRACTOR SERVICES AGREEMENT between the City of Kent and r Seattle Rock Orchestra THIS AGREEMENT is made between the City of Kent, a Washington municipal corporation (hereinafter the "City"), and Seattle Rock Orchestra, c/o Scott Teske located and doing business at 1742 NE 89th St, Seattle, WA 98115, 206-659-5575 (hereinafter the "Contractor"). I. DESCRIPTION OF WORK. Contractor shall perform the following services for the City: , Description: Contractor will present one public concert (Pink Floyd) as part of the Kent Arts Commission's "Spotlight Series," Start TimelDu ratio n/Stop Time: 7:30 p.m. / approx. 2 hours including one intermission/ approx. 9:30 p.m. Day, Date, Year: Saturday, February 3, 2018 Event Location: Kentwood High School Performing Arts Center, 25800 164" Ave SE, Covington, WA 98042 Merchandising: Contractor shall have the sale and exclusive right, but not obligation, to sell souvenir posters, programs, CDs, DVDs and other merchandise directly pertaining to and/or bearing the likeness of the Contractor at the performance. City will retain 15%) of the receipts when Contractor provides sales staff and 20% of the receipts when City provides sales staff. Lodging: N/A Hospitality: City will provide water and light snacks, Billing: Seattle Rock Orchestra: Pink Floyd. Contractor to receive 100% sole headline billing in all advertising, with exception of season brochure. Sponsorship: City reserves the right to obtain corporate sponsor(s)for Contractor's performance. Exclusivity: Contractor shall not present the same show(Pink Floyd) in the general Seattle/Puget Sound market, including King, Pierce, Snohomish and Kitsap Counties, within two-months before or after February 3, 2018, with the exception of venues previously discussed and mutually agreed upon. House seats: City will hold ten (10) complimentary house seats for Contractor, to be released 24 hours prior to curtain if not notified by Artist. *All as more specifically described in the attached Exhibit B Contractor further represents that the services furnished under this Agreement will be performed in accordance with generally accepted professional practices in effect at the time those services are performed. II. COMPENSATION. The City shall pay Contractor the total sum of$7,000.00 for the work to be performed under this Agreement, upon satisfactory completion of all services and requirements specified in this Agreement, The full payment of$7,000 will be paid, by City of Kent check, to Seattle Rock Orchestra on the day of the show. III. PRESS MATERIALS. Contractor agrees to provide to the City where appropriate, at his or her own expense, complete press materials, including hard copy or high resolution electronic photographs, biographic descriptions, and program materials, riot less than six (6) weeks prior to the initial event date for the City's use in promoting the event. All publicity and promotional materials regarding the event released to the media or public by the Contractor shall credit the City of Kent for its support of the event or project. IV. PERFORMANCE SPACE. The City agrees to furnish, at its sole cost and expense, a place of performance on the date(s) and at the time(s) contained in Section I The City shall also provide ushers, a house manager, and box office staff and any additional services and personnel as required by the City, for the efficient operation of the engagement. Other arrangements will be the responsibility of the City and Contractor as follows below. CONTRACTOR SERVICES AGREEMENT - 1 (Under$1 q,000—Sole Performer) X. IMPOSSIBILITY OF PERFORMANCE. Indoor oerforniances may be dependent upon a facility which the City may, or may not have control over. Outdoor performances are considered "rain or shine." In the event that extreme inclement weather renders and outdoor performance impossible, or an indoor facility urrexoectcdly becomes unavailabCe the city will attempt to arrange an alternate performance space and Artist will employ its best efforts to provide the contract work in that alternate performance space. Neither party shall be under liability for failure to perform in the event that such failure is caused by or due to acts or regulations of public authorities, civil tumult, strike, epidemic or any other cause beyond the control of either party. In the event of failure to perform as provided in this section, neither party shall be liable for the balance of the Agreement. XI. MISCELLANEOUS PROVISIONS. A. Discrimination. In the performance of work under this Agreement or any sub-contract, the Contractor shall not, by reason of race, religion, color, sex, age, sexual orientation, national origin, or the presence of any sensory, mental, or physical disability, discriminate against any person. B. Recvclabie Materials. Pursuant to Chapter 3.80 of the Kent City Code, the City requires its Contractors to use recycled and recyclable products whenever practicable. A price preference may be available for any designated recycled product. C. Non-Waiver__of The failure of the City to insist upon strict performance of any of the covenants and agreements contained in this Agreement, or to exercise any option conferred by this Agreement in one or more instances shall not be construed to be a waiver or relinquishment of those covenants, agreements or options, and the same shall be and remain in full force and effect. D. Resolution of Disputes and Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Washington. If the parties are unable to settle any dispute, difference or claim arising from the parties' performance of this Agreement, the exclusive means of resolving that dispute, difference or claim, shall only be by filing suit exclusively under the venue, rules and jurisdiction of the King County Superior Court, King County, Washington, unless the parties agree in writing to an alternative dispute resolution process. In any claim or lawsuit for damages arising from the parties' performance of this Agreement, each party shall pay all its legal costs and attorney's fees incurred in defending or bringing such claim or lawsuit, in addition to any other recovery or award provided by law, provided, however, nothing in this paragraph shall be construed to limit the City's right to indemnification under Section VII of this Agreement. E. Written Notice. All communications regarding this Agreement shall be sent to the parties at the addresses listed on the signature page of the Agreement, unless notified to the contrary. Any written notice hereunder shall become effective three (3) business days after the date of mailing by registered or certified mail, and shall be deemed sufficiently given if sent to the addressee at the address stated in this Agreement or such other address as may be hereafter specified in writing. F. Assi nment. Any assignment of this Agreement by either party without the written consent of the non- assigning party shall be void. If the non-assigning party gives its consent to any assignment, the terms of this Agreement shall continue in full force and effect and no further assignment shall be made without additional written consent. G Modification. No waiver, alteration, or modification of any of the provisions of this Agreement shall be binding unless in writing and signed by a duly authorized representative of the City and Contractor. H. Entire A reentent The written provisions and terms of this Agreement, together with any Exhibits attached hereto, shall supersede all prior verbal statements of any officer or other representative of the City, and such statements shall not be effective or be construed as entering into or forming a part of or altering in any manner this Agreement. All of the above documents are hereby made a part of this Agreement. However, should any language in any of the Exhibits to this Agreement conflict with any language contained in this Agreement, the terms of this Agreement shall prevail. I. Compliance with Laws., The Contractor agrees to comply with all federal, state, and municipal laws, rules, and regulations that are now effective or in the future become applicable to Contractor's business, equipment, and personnel engaged in operations covered by this Agreement or arising out of the performance of this Agreement. J City Business License Required. Prior to commencing the tasks described in Section I, Contractor agrees to provide proof of a current city of Kent business license pursuant to Chapter 5.01 of the Kent City Code, K. Counterparts. This Agreement may be executed in any number of counterparts, each of which shall constitute an original, and all of which will together constitute this one Agreement. Mix #T woodwinds - all woodwinds Mix #8: brass: all brass "Should any compromises need to be made to the input list, stage, and/or monitoring needs due to available budget, number of board channels, or house equipment, SRO requests that these compromises be discussed and agreed upon by all parties, at least two weeks in advance of the show date. Notes for the Solana naineer{� ., Our strings could use some EQ help to remove the nasal quality of their pickups. Some reverb to help with the warmth and fullness of the string sound would be appreciated. a Balance of all string players should be completely even, with the exception of our singular cellist, who is pulling double duty since there is only one of them. o All seven of our string players will have featured solos at some point in the evening, at which time they will utilize a distortion pedal. In addition to the gnarly change in tone color, the purpose of these pedals is to toggle the performer between 1) their default volume as a well blended supporting player, and 2) a face-melting soloist, who can clearly be heard shredding above the whole orchestra. This way the solos pop immediately from the get-go, without the FOH engineer having to play catch-up to adjust their level, and allows the player to immediately drop back to their carefully blended default volume once their solo is over. Typically we work on dialing in the gain on each distortion pedal near the end of soundcheck, once the FOH engineer has achieved a basic house mix that they're happy with. o All winds and brass will also take solos at some point in the evening. Any time any performer stands up from a seated position is a good indication they are taking a solo. o When in use, the vibraphone and glockenspiel are important to the ensemble, often fulfilling the roles of what would be guitars or keyboards. A prominent place in the mix is appreciated. o With our nearly one-on-a-part chamber orchestra configuration, each orchestral instrument should basically carry equal weight in the mix. o Flow of soundcheck: after a speedy line-check, every effort to get the orchestra playing as soon as possible is appreciated, to help player morale from dipping due to waiting around. We would prefer to work on monitor mixes as we rehearse, rather than all at once up-front. Pre-Show Schedu�l To set the orchestra up for maximum success, SRO requests that all parties adhere as closely to this schedule as possible, so that everyone can complete the work they need to do in a relaxed manner. All performers are on contract to be on-site and work within these specific time windows. Their arrival and on-call times are carefully staggered to reduce unnecessary waiting. All soundcheck work will need to be completed before a hard 5pm stop time to allow for an adequate dinner break. mar S O nrriv I - r uests_fQr l i e crew s Stage is dressed with risers, microphones, chairs, and music stands, as closely as possible to stage plot. • stage lights focused, if needed e All inputs patched to board o Sound Engineer(s) completely prepared to begin line checks and monitor mixes from minute one of orchestra arrival So n check with SRO on a 1:45pm: Drums, bass, and percussionists arrive for load-in and line checks. SRO director arrives to assist in any minor adjustments of stage layout. 2.30pm: line checks for all string players, plus fine tuning of their specific strings-only monitor mix(es). 3-5pm: All other performers on stage. Line checks for all woodwinds, brass, and singers, followed by immediately by orchestra dress rehearsal + full ensemble soundcheck. 5-7pm: dinner break for orchestra and crew 7:00pm: call for performers ahsaw Scedul • 7:30pm. orchestra takes stage to warm-up. No change in house music, or house & stage lights. Wait 5-7 minutes for late arrivals to be seated, • 7 35-7:37prn House music and lights go down, and stage lights go up. Concertmaster enters stage right Concertmaster bows to audience, and then tunes orchestra. Spotlight/profile light on Concertmaster, if possible. If the venue has sponsor acknowledgments, announcements, and/or would like to introduce the orchestra, now is the time. • SRO directors & vocalists take the stage from stage right. Spots on vocalists, conductor podium, and electric bass positions If possible. 0 Orchestra performs for 45-60 minutes. • 20 minute intermission • After intermission, house music and lights go down, and stage lights go up. Concertmaster stands and bows from her seat, and tunes orchestra. Spot on Concertmaster, if possible, SRO directors and vocalists enter stage right. m Orchestra performs 50-60 minutes, • SRO Directors and vocalists exit stage right. Orchestra remains onstage in anticipation of encore. 0 SRO Directors and vocalists enter stage right for encores. Orchestra performs one to three more songs. • Following encores and director/vocalist final exit, house lights and music go up immediately to signal that the show is over and no more music will be performed. Lgh ing SRO puts its full trust in the venue's in-house lighting engineer to exercise their creativity in lighting an exciting rock show, using whichever elements are available at the venue. Should "rock" elements not be available, a simple 'orchestral" stage wash is sufficient. If available lighting elements are extensive, and should budget and time allow, here are a few nice areas of coverage to have as options', • Spot on conductor podium • Spot on electric bass (who acts as M.C.) • Spot on vocalists • Spot on the Concertermaster, aka Violin 1-1. Useful for when she tunes the orchestra, and when she takes standing solos. • Spots on the rest of the strings (who also take standing solos) OR flood on all strings. • Flood on woodwind riser. All winds will take standing solos at some point. Both saxophones will take multiple solos, so if equipment is tight, they're the most important • Flood on brass riser. Each will take standing solos, particularly trumpet. • Flood on auxiliary percussion/mallets. The roto-toms and vibraphone will have featured solos at times.
