Pat:
I am pleased that the City of Kent has chosen our firm as legal counsel on the Second Avenue
Real Estate, LLC title dispute. We at the firm anticipate that our relationship will be a pleasant one,
and would like to encourage you to feel comfortable with, be knowledgeable about, and to discuss with
us, any of our firm's policies and procedures. Indeed, it is our professional obligation to call these
things to your attention and obtain your consent to the terms of our engagement.
All or a portion of the services we perform may be performed by Mullavey Prout attorneys,
both shareholders and associates, or by legal assistants or clerks employed by our firm. However, I will
be the attorney primarily responsible for your work and at this time I do not anticipate others being
involved in the near term.
Charges for work performed are based on hourly rates for the time expended. Hourly rates for
work performed by our attorneys currently range from $250.00 to $350.00. Hourly rates are changed
periodically without prior notice to the firm's clients, but a current schedule is available at any time
upon request. The actual fees incurred on any project may exceed an estimate given prior to
completion of the project. The charge for my time will be discounted to $300.00 an hour.
We may incur reasonable costs and expenses which will be charged to you. Such charges may
include legal messenger, recording fees, court fees, photocopying, computer legal research,
transportation and travel expenses, and other disbursements specifically applicable to the services
provided for you.
Normally, you will receive a monthly statement showing fees and costs incurred in the prior
month. Occasionally, we may bill on a less frequent basis if the time involved in the prior month was
minimal.

Your account balance is due and payable upon receipt of the statement. If the account is not
paid within 30 days from the date of the statement, there will be an interest charge assessed at 12%per
annum. Inquiries regarding a foe statement may be addressed to me aver you receive it. A reminder
statement will be sent monthly to show any unpaid balance plus any interest charges. If the account
becomes more than 60 days past due, additional legal work cannot be performed until the account is
brought current. Once services have been rendered, or our representation has been concluded or
terminated, a final billing will be sent to you. Any questions or disagreements should be brought to our
attention in writing within 60 days of the billing date.
Both the client and Mudlavey Prout have the right to terminate the engagement at any time after
reasonable advance written notice. On termination, all fees and costs incurred prior to termination
should be paid promptly. Thereafter, we will deliver original documents entrusted to the firm and any
documents which the client has paid for that have not been previously delivered. On termination, a
client may obtain copies of any additional documents in our files on request and upon payment of
photocopying charges.
I hope this information is helpful to you. I would appreciate the return of a signed copy of this
letter to indicate your consent to the policies and procedures discussed in this letter.
