ATTORNEYS Ft ,EAGREEMENT
This ATTORNEY.- CLIENT FEE AGREEMENT is entered into between the City of Kent,
herein referred to as"Client,"and Stephanie Croll Law,herein referred to as"Law Firm,"
SCOPE AND DUTIES. Client hires Law Firm to provide legal services as required by Client in
connection with:

h� 2-30868-0ICNT. Law Firm shall at all times faithfinlly and to the best of its ability and experience provide
those legal services reasonably required to represent Client,pursuant to the terms of this Agreement and the
Rules of Professional Responsibility, Law Firm shall keep Client unformed of progress and respond to
Client's hxluuLrs. Client shall cooperate with Law Firm,keep Law Firm Informed of developments, and
otherwise abide by the terms ofthis Agreement.
LEGAL FEES, Stephanie Croll, Attorney-at-Law, is the sole proprietor of Law Finn. Client
agrees to pay for legal services performed by Stephanie Croll at her cusirent hourly rate of$260, This rate
will remain in effect for at least twelve months finnn the effective date of this Agreement. All services are
billed in increments of.1 hour. Fees shall include time expended for services such as court appearances,
conferences, telephone calls, email, correspondence, travel, legal research,preparation of documents mid
any other activities necessary for proper representation of Client. Law firm will not bill client,however,for
thrtvel to and tiom Client's office if those trips are hncurred in the regular course of representation.Law Fimh
reserves the right to periodically review and adjust Ms. Croll's hourly rate, Law Firm agrees that if it
increases this rate,then Client auud Law Finn will enter into a Supplemental Agreement in writing to agree
upon the new rate for this matter,and the elate upon which the new rate stall become effective.
ASSOCIATE ATTORNEYS,PARALEGALS AND INTERNS. Law Firm may hire additional
attorneys who may support Ms, Croll on this matter fit the firhre if,to the best of Law Finm's knowledge,
they are licensed by the Slate of Washington and fit good standing with the Washington State Bar
Association, Law Firm may also hire paralegals and/or legal interns who may work on this matter in the
future. Ms. Croll is the primary attorney for the legal work referenced in this Agreement, and no other
attorney will become the primary attorney without the Client's prior written authorization.Law Firm agrees
that if additional attorneys,paralegals or legal hhterns are]hied,then Client and Law Finn will enter into a
Supplemental Agreement in writing to agree upon and establish their rates)ofcompersation.

COSTS AND EXPENSES. Inn addition to paying legal fees,Client slall reimburse Law Finn for
all costs and expenses incurred by Law Finn, including,but not limited to, filing fees,process servers'fees,
fees fixed by law or assessed by courts or other agencies, deposition costs, messenger and other delivery
fees, postage, in-office printing and/or copying at$0.50 per page, parking, investigation expenses, aril,if
retained, consultants' fees, expert witness fees,and other similar items. Law Firm may need to retain the
services ofanother professional consultant and/or expert witness(c,g.,certified public accountant,real estate
appraiser,psychological evaluator,independent medical evaluator,etc.),which Law Firm deems necessary
for the preparation of tie case. Before retaining another panfessiaal consultant and/or expert witness Law
Firm shall first obtain authorization to do so from Client.

STATEMENTS. Law Firm shall send Client statements for fees and costs incurred. Client shall
pay Law Finifs statements within 45 days after receipt. Client understands that interest at the rate of six
percent(6%)per EuurrmI will be charged on all fees,cost or expenses not paid in fill within(45)clays, lathe
event of a dispute, Client shall pay any amount not in dispute, and the parties shall meet to resolve any
differences. If the parties are unable to resolve my such dilerences,the parties shall submit the disputed
amount to the Fee Arbitration Board of the Washington Slate Bar Association for arbitration and prompt
resolution. The parties agree to be bound by such arbitration.

DISCLAIMER OF GUARANTEE. Nothing in this Contract and nothing in Law Firm's
statements to Client shall he consh tied as a promise or guarantee about the outcome of Client's matter. Law
Finn makes no such promises or guarantees. Client acknowledges being advised of tine unpredictability of
court decisions(if this matter goes to court). Client understands that despite Law Firm's best efforts,there is
no guarantee of the outcome of this matter. An opinion may be rendered as to the probability of success or
failur-e in this matter,but such opinion is not a guarantee of results.
