Refreshing the Kent Strategic Plan
Contract Amendment 1 - Details
In the original contract Scope of Work date April 7, 2016, the number 6 Objective
stated:
1 . Generate a fully informed, highly coordinated and increasingly collaborative
strategic plan process and outcomes ownership
It was also stated in the proposal that additional consultancy and facilitation time
might be required for this and other objectives of our work.
An additional element to this work is the City's recent hire of a Business Strategy and
Performance Analyst who we recommend be a part of the Strategic Planning
processes.
Given the above, we are proposing an addition to the original contract.
In addition, the date for Mini-Retreat 2 was extended by the City by two weeks,
approaching the end date of the original contract, 8/15/2016. This amendment
provides for additional time to complete the final Strategic Planning Window and
report.
Additional Scope of Work
A. Formulation and Refinement of SMART Objectives
o Meet with department heads and / or teams of department heads and key
staff members as they designate to refine SMART Objectives as prioritized in
Strategic Plan Mini-Retreat 2.
o Where appropriate, identify initial key Critical Success Factors, Barriers, and
Strategies specific to that Objective during the above discussions.
o Conduct meetings in-person and on-line depending upon required outcomes
and needed process (determined by Dr. Gilbert and Dr. Thomson in
consultation with department heads).
o Work closely with new Business Strategy and Performance Analyst on processes
for measurement and assessment that best ensure progress and
accountability.

Deliverables
o All Objectives reviewed during the additional scope of work will utilize the
SMART syntax.
B. Final review of all SMART Objectives and final Strategic Plan Window in
preparation for presentation to the Council.
o Critique of Objectives and analysis of coherence and completeness of the
Strategic Plan.
o Final presentation to Council and guidance on best practices moving forward.
C. Transition to new Business Strategy and Performance Analyst
o Prepare electronic and paper files for handover
o Summarize past and current projects
o Prepare list of on-going projects and items for follow up
o Meet to review documents, projects, and follow-up items
Additional Compensation
Scope A
Up to 10 hours of consultations / review on SMART Objectives at
$200.00 per hour to a maximum of $2000.00
Scope B
2.5 hours of review and final presentation at Council meeting $650.00
Scope C
Up to 16 hours of work and meetings at $60.00 per hour $960.00
Total $3610.00
Timeline
All work under this contract extension will be completed by October 15, 2016.

This Amendment is made between the City and the above-referenced Consultant or
Vendor and amends the original Agreement and all prior Amendments. All other provisions of
the original Agreement or prior Amendments not inconsistent with this Amendment shall remain
in full force and effect. For valuable consideration and by mutual consent of the parties,
Consultant or Vendor's work is modified as follows:
1. Section I of the Agreement, entitled "Description of Work," is hereby modified to
add additional work or revise existing work as follows:

The Consultant or Vendor accepts all requirements of this Amendment by signing below,
by its signature waives any protest or claim it may have regarding this Amendment, and
acknowledges and accepts that this Amendment constitutes full payment and final settlement of
all claims of any kind or nature arising from or connected with any work either covered or
affected by this Amendment, including, without limitation, claims related to contract time,
contract acceleration, onsite or home office overhead, or lost profits. This Amendment, unless
otherwise provided, does not relieve the Consultant or Vendor from strict compliance with the
guarantee and warranty provisions of the original Agreement.
All acts consistent with the authority of the Agreement, previous Amendments (if any),
and this Amendment, prior to the effective date of this Amendment, are hereby ratified and
affirmed, and the terms of the Agreement, previous Amendments (if any), and this Amendment
shall be deemed to have applied.
The parties whose names appear below swear under penalty of perjury that they are
authorized to enter into this Amendment, which is binding on the parties of this contract.

become effective on the last date written below.
