Assumed Encumbrances Approved. I have had adequate opportunity to review the terms of
payment, interest rates and conditions of any existing notes, deeds of trust, mortgages, contracts, assessments

statement, if any, and to inspect the property and determine the exact locations of its boundaries. The location
and physical condition of the property and any buildings, improvements, plumbing, heating, cooling, electrical or
septic systems on the property are approved. I understand that all inspections and approvals of the location and
physical condition of the property are my sole responsibility, and are not part of the closing agent's duties and
responsibilities. I hereby release and agree to hold the closing agent harmless from any and all claims of liability
for loss or damage arising or resulting frorn any physical condition or defect on, the property, or from the
location of its boundaries.

forth in the following numbered paragraphs of Schedule B of the Preliminary Commitment of Title Insurance:

"IMPORTANT NOTICE"
CONCERNING COLLECTED FUNDS:
Washington State Statute, RCW 18.44,.400(3), affects our ability to disburse funds.
The statute requires that "an escrow agent shall not make disbursements until the following business day after the
business day on which the funds are deposited" with certain exceptions as follows:
1. Interbank wire transfers that are unconditionally received by the escrow agent's depository bank;
2. Cashier's checks drawn on a Washington bank.
Please be advised that funds to be deposited to this escrow MUST conform to the above requirements. Any other
type of deposit by cashier's check or bank check must be deposited into escrow 24 hours prior to disbursement.
Therefore, if a lender deposits their loan check on the day of recording (not by wire), disbursement cannot occur
until the day after recording. This will include the seller's proceeds, all payoffs of seller's loans, the agent's
commission checks, and all other disbursements from the closing. If the loan being paid off requires collection of
interest in monthly increments rather than per them or daily, and the closing is set for month end, the delay may
entail an additional month's interest.
If you are obtaining a cashier's check drawn on a Washington bank, please be certain that the check is deposited
with Old Republic Title, Ltd. no later than 1:0O PM one day prior to closing and recording.
Be advised that your lender may charge an additional wire fee.

1. The term mortgage,when used herein, shall include deed of trust,trust deed,or other security instrument.
2. If the proposed Insured has or acquired actual knowledge of any defect, lien,encumbrance,adverse claim or other
matter affecting the estate or Interest or mortgage thereon covered by this Commitment other than those shown In
Schedule B hereof, and shall fail to disclose such knowledge to the Company in writing, the Company shall be relieved
from liability for any loss or damage resulting from any act of reliance hereon to the extent the Company is prejudiced
by failure to so disclose such knowledge. If the proposed Insured shall disclose such knowledge to the Company, or if
the Company otherwise acquires actual knowledge of any such defect, lien,encumbrance,adverse claim or other
matter, the Company at its option may amend Schedule B of this Commitment accordingly, but such amendment shall
not relieve the Company from liability previously incurred pursuant to paragraph 3 of these Conditions and

3. Liability of the Company under this Commitment shall be only to the named proposed Insured and such parties

The undersigned buyer and seller (referred to herein as "the clients'D hereby designate and appoint OLD
REPUBLIC TITLE, LTD. (referred to herein as "the closing firm'D to provide closing and escrow services
according to the following agreements and instructions.
IT IS AGREED,AND THE CLOSING AGENT IS INSTRUCTED,AS FOLLOWS:
Terms of Transaction. The terms and conditions of the transaction which is the subject of these
instructions (referred to herein as "the transaction'D are set forth in the parties' Purchase and Sale Agreement,
Earnest Money Agreement, or other written agreement, and any attachments, amendments or addenda to that
agreement (referred to herein as "the clients' agreement'D, which is made a part of these instructions by this
reference. Any changes to the clients' agreement will be made a part of these instructions, without further
reference, when signed by the clients and delivered to the closing firm. These instructions are not intended to
amend, modify, or supercede the terms and conditions of the clients' agreement and if there is any conflict or
inconsistency between these instructions and the clients' agreement, the terms and conditions of the clients'
agreement shall control, except that the closing firm shall not be responsible for instructions arising from the
terms of the clients'agreement that are not delivered to the escrow.
Description of Real Property. The real property which is the subject of the transaction (referred to
herein as "the property') is identified in the clients' agreement. The documents required to close in the
transaction must contain the legal description of the property.
Closing Date. The date on which the documents required to close the transaction are filed for record
(referred to herein as"the closing date'D shall be on or before the date for closing of the transaction specified in
the clients' agreement unless the closing date falls within the three-day rescission period after delivery to the
buyer of an amended real property transfer disclosure statement, in which case the closing date shall be
extended until the expiration of the three-day rescission period.
Documents. The closing firm is instructed to select, prepare, receive, hold, record and deliver documents
as necessary to close the transaction. The closing firm may request that certain documents be prepared or
obtained by the clients or their attorneys, in which case the clients shall deliver the requested documents to the
closing firm before the closing date. Execution of any document will be considered approval of its form and
contents by each client signing such document.
Deposits and Disbursement of funds. Before the closing date, each client shall deposit with the closing
firm all funds required to be paid by such client to close the transaction, less any earnest money previously

deposited with the real estate agent. The closing firm is authorized, but not required, to consider a lending
institution's written commitment to deposit funds as the equivalent of a deposit of such funds, if all conditions of
the commitment will be met on or before the closing date. All funds received by the closing firm shall be
deposited in one or more of its escrow or trust accounts with any bank doing business in the State of
Washington and may be transferred to any other such accounts. The closing firm shall not be required to
disburse any funds deposited by check or draft until it has been advised by its bank that such check or draft has
been honored. All disbursements shall be made by the closing firm's check.
Preliminary Settlement Statement. The closing firm is instructed to prepare a preliminary settlement
statement showing all funds deposited for the account of each of the clients and the proposed disbursements
from such funds. No funds shall be disbursed until the clients have examined and approved the preliminary
settlement statement. Some items may be estimated, and the final amount of each estimated item will be
adjusted to the exact amount required to be paid at the time of disbursement. The preliminary settlement
statement will be subject to audit and any errors or omissions may be corrected at any time. If any monetary
error is found, the amount will be immediately paid by the client liable for such payment to the party entitled to
receive it.
Prorations. Adjustments or pro-Rations of real estate taxes and other charges if any, shall be made on a
per diem basis using a 365 day year, unless the closing firm is otherwise instructed.
Title Insurance. The closing firm is instructed to obtain and forward to the clients a preliminary
commitment for title insurance on the property and on any other parcel of real property that will be used to
secure payment of any obligation created in the transaction.
Verification of Existing Encumbrances. The closing firm is instructed to request current written
demands for satisfaction of all matters of record that are to be paid by the closing firm through the escrow. A
current demand is defined as a written demand for payment that is not expired or that will not expire by its
terms prior to the close of escrow or whose date of issuance is not more than 30 days prior to close of escrow.
In the event a demand submitted to the closing firm is determined not to be current within this definition,
closing firm is further instructed, at its sole discretion, to obtain an updated demand and to pay the updated
demand as submitted without further written or verbal instructions from the clients. The closing firm may rely
upon such written statements in the performance of its duties, without liability or responsibility for their
accuracy or completeness.
Disclosure of Information to Third Parties. The closing firm is authorized to furnish, upon request,
copies of any closing documents, agreements or instructions concerning the transaction to the clients'attorneys,
and to any real estate agent, lender or title insurance company involved in the transaction.
Closing Firm's Fees and Expenses. The closing firm's fee is intended as compensation for the services
set forth in these instructions. If additional services are required to comply with any change or addition to the
clients' agreement or these instructions, or as a result of any client's assignment of interest or delay in
performance, the clients agree to pay a reasonable additional fee for such services. The clients shall also
reimburse the closing firm for any out-of-pocket costs and expenses incurred by it under these instructions. The
closing firm's fees, costs and expenses shall be due and payable on the closing date or other termination of the
closing firm's duties and responsibilities under these instructions, and shall be paid one-half by the buyer and
one-half by the seller unless otherwise provided in the clients'agreement.
Cancellation. These instructions may be canceled by a written agreement, signed by all of the clients,
and payment of the closing firm's fees, costs and expenses. Upon receipt of such agreement and payment, the
closing firm shall return any money or document then held by it to the clients that deposited the same, and
shall have no further duties or responsibilities under these instructions.

Inability to Comply With Instructions. If the closing firm receives conflicting instructions or
determines, for any reason, that it cannot comply with these instructions by the date for closing specified in the
clients'agreement or in any written extension of that date, it shall notify the clients, request further instructions,
and in its discretion: (1) continue to perform its duties and close the escrow after receiving further mutual, non-
conflicting instructions, in accordance with the instructions; (2) if no further mutual, non-conflicting instructions
are received, return any money and/or documents then held by it to the clients that deposited the same, less
any fees and expenses chargeable to the respective clients, whereupon the closing firm shall have no further
duties or responsibilities under these instructions; or (3) commence a court action, deposit the money and/or
documents held by it into the registry of the court, and ask the court to determine the rights of the clients.
Upon depositing the funds and/or documents with the court, the closing firm shall have no further duties or
responsibilities under these instructions. The clients jointly and severally agree to pay the closing firm's costs,
expenses and reasonable attorney's fees incurred in the court action, which may be paid from the funds
deposited with the court.
Disputes. Should any dispute arise between the clients, or any of them, and/or any other party,
concerning the property or funds involved in the transaction, the closing firm may, in its sole discretion, hold all
documents and funds in their existing status pending resolution of the dispute, or join or commence a court
action, deposit the money and documents held by it with the court, and ask the court to determine the rights of
the clients. Upon depositing said funds and documents with the court, the closing firm shall have no further
duties or responsibilities under these instructions. The clients jointly and severally agree to pay the closing firm's
costs, expenses and reasonable attorney's fees incurred in any lawsuit arising out of or in connection with the
transaction or these instructions, whether such lawsuit is instituted by the closing firm, the clients, or any other
person.
Notices. Any notice, declaration or request made under these instructions shall be in writing, signed by
the clients giving such notice or making such declaration or request, and personally delivered or mailed to the
closing firm and other clients at their addresses set forth in these instructions.
Amendments. Any amendment, addition or supplement to these instructions must be in writing, signed
by the appropriate clients and delivered to the closing firm.
Counterparts. These instructions may be executed in one or more counterparts with like effect as if all
signatures appeared on one copy.
Effect. These instructions shall bind and benefit the clients, the closing firm, and their successors in
interest.
Definitions. When used herein or in any amendment, addition or supplement hereto, words and phrases
are defined and are to be construed as follows:
The words"buyer"and"seller" refer to all persons and entities identified as such by their signatures on this
document, jointly and severally unless otherwise indicated, and shall be construed interchangeably with other
similar terms such as"clients", "purchaser,""vendee,""vendor,""grantee,"or"grantor"as may be appropriate
in the context and circumstances to which such words apply.
The word "lender" refers to any lending institution or other person or entity, including the seller if
appropriate, that has agreed to provide all or part of the financing for the transaction or to which the buyer has
made a loan application.
The word "party" refers to persons other than the"clients"from whom the closing firm accepts instructions
or to whom the closing firm may make deliveries or disburse funds.

The word "clients" means buyer and seller and may include the purchase money lender only if the LPO
accepts the duty to select, prepare or complete legal documents for the purchase money loans.
The phrase "these instructions" refers to the agreements, instructions and provisions set forth in this
document and all amendments, additions and supplements to this document.
The phrase "the property" refers to the real property identified in the clients' agreement, including any
other parcel of real property that will be used to secure payment of any obligation created in the transaction,
and does not include any items of personal property unless otherwise specifically stated in these instructions.
The phrase"outside of escrow" refers to any duty, obligation or other matter which is the sole responsibility
of the clients or of any client and for which the closing firm shall have no responsibility or liability.

PURPOSE OF THIS NOTICE
Title V of the Gramm-Leach-Bliley Act (GLBA) generally prohibits any financial institution, directly or
through its affiliates, from sharing nonpublic personal information about you with a nonaffiliated third
party unless the institution provides you with a notice of its privacy policies and practices, such as the
type of information that it collects about you and the categories of persons or entities to whom it may
be disclosed. In compliance with the GLBA, we are providing you with this document, which notifies
you of the privacy policies and practices of Old Republic Title, Ltd..
We may collect nonpublic personal information about you from the following sources:
Information we receive from you such as on applications or other forms.
Information about your transactions we secure from our files, or from [our affiliates or] others.
Information we receive from a consumer reporting agency.
Information that we receive from others involved in your transaction, such as the real estate
agent or lender.
Unless it is specifically stated otherwise in an amended Privacy Policy Notice, no additional nonpublic
personal information will be collected about you.
We may disclose any of the above information that we collect about our customers or former
customers to our affiliates or to nonaffiliated third parties as permitted by law.
We also may disclose this information about our customers or former customers to the following
types of nonaffiliated companies that perform marketing services on our behalf or with whom we
have joint marketing agreements:
Financial service providers such as companies engaged in banking, consumer finance,
securities and insurance.
Non-financial companies such as envelope stuffers and other fulfillment service
providers.
WE DO NOT DISCLOSE ANY NONPUBLIC PERSONAL INFORMATION ABOUT YOU WITH ANYONE FOR
ANY PURPOSE THAT IS NOT SPECIFICALLY PERMITTED BY LAW.
We restrict access to nonpublic personal information about you to those employees who need to
know that information in order to provide products or services to you. We maintain physical,
electronic, and procedural safeguards that comply with federal regulations to guard your nonpublic
personal information.

"IMPORTANT NOTICE"
CONCERNING COLLECTED FUNDS:
Washington State Statute, RCW 18.44.400(3), affects our ability to disburse funds.
The statute requires that "an escrow agent shal'il not make disbursements until the following business day after the
business day on which the funds are deposited" with certain exceptions as follows:
1. Interbank wire transfers that are unconditionally received by the escrow agent's depository bank;
2. Cashier's checks drawn on a Washington bank,
Please be advised that funds to be deposited to this escrow MUST conform to the above requirements. Any other
type of deposit by cashier's check or bank check must be deposited into escrow 24 hours prior to disbursement.
Therefore, if a lender deposits their loan check on the day of recording (not by wire), disbursement cannot occur
until the day after recording. This will include the seller's proceeds, all payoffs of seller's loans, the agent's
commission checks, and all other disbursements from the closing. If the loan being paid off requires collection of
interest in monthly increments rather than per them or daily, and the closing is set for month end, the delay may
entail an additional month's interest.
If you are obtaining a cashier's check drawn on a Washington bank, please be certain that the check is deposited
with Old Republic Title, Ltd. no later than 1:00 PM one day prior to closing and recording.
Be advised that your lender may charge an additional wire fee.
If you wish to discuss this matter, please feel free to call your escrow officer with any questions or concerns about
this notice and the potential delay in disbursing the sale proceeds.

banking transfers are often completed through an ACH Transfer, not a Wire Transfer. Old Republic Title, Ltd.
rejects all ACH Transfers and returns the funds to the sender(Government Entities/Agencies excluded.) Close
of Escrow may be significantly delayed as a result of an ACH Transfer.
OLD REPUBLIC TITLE, LTD. DOES NOT AUTHORIZE FUNDS TO BE DEPOSITED DIRECTLY INTO
OUR ACCOUNT AT UNION BANK LOCAL BRANCH LOCATIONS.
Funds deposited directly into an account of Old Republic Title, Ltd. at Union Bank branches are subject to
verification. Verification of unauthorized deposits is not immediate or automated following deposit. Delay in
credit of funds to an escrow and delay in Close of Escrow may result.
If you want to transfer funds by Wire Transfer from a non-United States financial institution, or have questions
with regard to acceptable funds, please contact your Escrow or Title Officer immediately.
