Section S. CLOSING OF THE SALE. WITH THE UNDERSTANDING
THAT TIME IS OF THE ESSENCE FOR THIS AGREEMENT, this sale shall be 10

closed by August 30, 2016, or sooner, which, shall also be the termination 12
date of this Agreement, unless said Closing date is extended in writing by 13
14
mutual agreement of the parties. When notified, the Buyer and Seller will 15

deposit, without delay, in escrow with First American Title and Escrow 17

(Escrow Agent),, all instruments and monies required to complete the 19
transaction in accordance with this Agreement. Closing for the purpose of 20

this Agreement, is defined as the date that aill documents are executed 22

and the sale proceeds are available for disbursement to the Seller. 24
