ENGINEERING SERVICES AGREEMENT For the City of Kent's S. 228fh St. Union Pacific Grade Separation This Engineering Services Agreement, dated as of October 13, 2015 ("Agreement"), is made and entered into by and between Puget Sound Energy, Inc., a Washington corporation ("PSE"), and the City of Kent, a Washington municipality ("City"). Terms used in this Agreement with initial letters capitalized and not otherwise defined have the meanings set forth in the Standard Terms and Conditions. Both of PSE and the City are sometimes referred to herein together as "Parties'; each of PSE and the City is sometimes referred to herein as "Party." 1. Term. The term of this Agreement (the "Term") shall commence as of the date of this Agreement and shall end upon the expiration of thirty (30) days after either Party gives the other written notice of such termination. Except as otherwise specifically provided for in the applicable Statement of Work or Section 6 of the Standard Terms and Conditions, the Parties' respective rights and obligations with respect to any Services subject to any Statement of Work signed by the Parties during the Term shall survive any termination of the Term for a period of two (2) years following such termination, or the applicable period of the statute of limitations,whichever is later. 2. Provision of Services. PSE shall perform for the City such Services as may be specified in Statements of Work agreed upon from time to time by the Parties during the Term of this agreement. Such Services shall be performed in accordance with PSE's standard practices and applicable tariffs. 3. Statements of Work. Each Statement of Work shall be in writing and signed by both Parties. Unless otherwise agreed to by the Parties, Statements of Work shall include, without limitation, the following with regard to the Services covered by such Statement of Work: (a) a detailed description of the Services; (b) any Results to be delivered by PSE to the City in connection with the Services; (c) a description of any specifications, documents, data, information, services, and other items to be furnished by the City; (d)the fees, reimbursable expenses, and other compensation payable by the City to PSE, for the Services; and (e)the schedule or term for performance of the Services. PSE shall not be obligated to perform, and the City shall not be obligated to pay for, any Services that are not specifically set forth in a Statement of Work. 4. Compliance. In performing any Statement of Work, PSE agrees to comply with the City's rules and regulations. Each Party agrees to comply with all applicable law in the performance of its responsibilities and obligations under this Agreement and any Statement of Work. 5. Interpretation. To the extent this Agreement and any Statement of Work contain inconsistent terms, the terms of the Statement of Work shall control. 6. Notices. Any notice, request, approval, consent, order, instruction, direction or other communication under this Agreement given by either Party to the other Party shall be in writing and shall be deemed to be effective upon receipt. Notice shall be delivered in person to an authorized representative, delivered electronically (e.g., email,facsimile,PDF, etc.) or mailed,properly addressed and stamped with the required postage, to the intended recipient at the address and to the attention of the person(s) specified below. Description of the Services: Under this agreement, Puget Sound Energy will redesign their 230kV and 115kV transmission lines and associated aerial fiber for relocation as needed to accommodate the City's overpass crossing the Union Pacific rail lines on South 228a' Street. This agreement will also include engineering for any re-work of PSE's distribution system that is not covered under Schedule 74 or PSE's Franchise agreement with the City. In reliance upon the specifications provided by the City pursuant to Section 2 below, PSE shall undertake engineering its electricity delivery systems. Under this agreement Puget Sound Energy will redesign their 230 kV and 115 kV transmission lines, associated aerial fiber control cables and 12.5kV distribution cables for relocation as needed to accommodate the City's overpass over the UP rail lines on S. 228"i St. The work will develop a technical plan of system additions, modifications, and construction necessary to relocate electrical facilities at the location identified on the Site Plan attached hereto as Attachment A. in connection with such studies, PSE shall: (a) With the cooperation of City, develop a final scope of design for the construction work, cost estimates, units, and project schedules for relocating/modifying electrical facilities on the attached Site Plan(s) and (b) Upon receipt from the City of a notice to proceed with the design, undertake detailed design and prepare final cost estimate for the relocation/modification of electrical facilities consistent with the specifications set forth in Section 2 below. 2. Specifications, documents, data, information, services, and other items to be furnished by the City: The Parties each acknowledge that the scope of work, estimates, and project schedule provided by PSE pursuant to this Scope of Work are based on the information set forth by the City in Attachment A. 3. Fees, reimbursable expenses, and other compensation: (a) Customer shall pay or reimburse to PSE all of the costs and expenses incurred by PSE in performing the work described in this Statement of Work. An estimate of these costs is provided in attachment B. For purposes of this Statement of Work, "costs and expenses" shall include,without limitation, any and all direct and indirect costs and expenses reasonably allocable or necessarily incurred by PSE in performing the services described herein including, but not limited to,the cost of labor,personnel, taxes, permits, approvals, assessments, inspections,tests, transportation,materials, supplies, equipment,tools, utilities, services, rental charges, consumables,premiums for bonds or insurance, disposal, overhead, administration and any other costs and expenses incurred by PSE. The cost shall not exceed the estimated cost plus 10% for services under this Engineering Services Agreement unless agreed to in writing by the Parties. PAGE January 4,2016 (b) PSE shall provide the City with itemized invoices for amounts due PSE from the City pursuant to this Statement of Work. PSE shall submit invoices with reasonable detail to support the charges. PSE shall set up separate work orders to track costs related to modifications and additions to the electric facilities as described in Section 1. In the event the City disputes any itemized amount in an invoice, the City may withhold those funds from payment but must pay all remaining undisputed amounts. (c) The City shall pay each itemized invoice within thirty (30) days of the date of receipt. (d) if the City terminates this agreement prior to completion of work as described in Section 1, the City shall reimburse PSE all actual costs and expenses incurred by PSE on this project. 4. Schedule: In an effort to expedite the relocation of PSE's transmission lines to accommodate the City's schedule, PSE will make all reasonable efforts to complete the raising of two 230kV lines and two 115kV lines in phases. The first phase will be to raise the 115KV lines and associated distribution lines. The second phase will be to raise the 230KV lines. The phasing of this work is dependent on PSE's ability to get phased outages on the affected lines. Design for the I 5KV system shall begin upon execution of this agreement. Geotechnieal work will take approximately four weeks (excluding holidays)to schedule and complete field work, with two additional weeks for the consultant to return their findings to PSE. Upon receipt of the geotechnical report, PSE's engineering staff will take an additional three months to design the 115kV line portion of the project. Procurement of poles for this phase is estimated to be approximately 4-7 weeks that may run concurrently with the latter portion of the design. This schedule would allow for 115kV design to be complete in approximately May of 2016. Design for the 230KV system shall begin upon execution of this agreement. Geotechnical work will take approximate four weeks to schedule and complete field work, with two additional weeks for the consultant to return their findings to PSE. Upon receipt of the geotechnical report, PSE's engineering staff will take an additional four months to design the 230KV transmission system. This will be followed by a one month bid process for steel, then a one month manufacturer design and PSE approval period. After the manufacturers design is approved by PSE the foundation design can begin (approximately July 2016). Foundation design will take one month and will run concurrently to the six month steel tower procurement period. This schedule would allow for the 230kV design to be complete in the fall of 2016. Upon execution of this agreement,PSE shall draft a construction agreement between PSE and the City to allow for the manufacture of steel poles for both the I I5KV and the 230 KV systems. It is anticipated that this agreement shall be executed by March 31, 2016 in order to meet the schedule outlined above. PSE reserves the right to update this schedule as the project progresses and more information regarding design, procurement, outages, constructability issues, permits, or real estate issues become available to the project team. I, 5. Other: The Parties acknowledge that this Agreement is not a commitment to acquire or provide electric service, and should any such service be provided to the City, the provision of such service is a matter outside of the PAGE January 4,2016 scope of this Agreement. It is further acknowledged by the Parties that any service for the project not covered by this Statement of Work (if any is provided) will be provided subject to applicable rates and tariffs on file with the Washington Utilities and Transportation Commission or otherwise subject to the mutual written agreement of the Parties as approved by the Washington Utilities and Transportation Commission. 6. SUMMARY: The South 228th Street Grade Separation project will construct an overpass over the Union Pacific rail lines to eliminate the at-grade crossing and the conflict between vehicles and trains. The bridge will also span across the Interurban Trail located within Puget Sound Energy right of way. This project is the third and final phase of the South 228th Street corridor, connecting the valley with I-5 and the future 509 connection. Under this agreement Puget Sound Energy will design for the relocation of the overhead transmission system to accommodate the new bridge.
