THIS AGREEMENT is made between the City of Kent, a Washington municipal corporation (hereinafter the
"City"), and Kingston Trio Productions, LLC, c/o Producers Inc. located and doing business at 11806 IN56 St.,
Tampa, FL 33617-1652, (813)988.1652 (hereinafter the"Contractor").
I. DESCRIPTION OF WORK.
Contractor shall perform the following services for the City:
Description: Contractor will present one public performance as part of the Kent Arts Commission's"Spotlight Series."
Start TimelDurationlStop Time: 7:30 p.m./75 minutes plus encore/approximately 9:00 p.m.
Day, Date,Year: Friday, October 2, 2015
Event Location: Kentwood High School Performing Arts Center, 25800 164th Ave. SE, Covington,WA 98042
Merchandising: Contractor shall have the sole and exclusive right, but not obligation, to sell souvenir posters, programs,
CDs, DVDs and other merchandise directly pertaining to and/or bearing the likeness of the Contractor at the performance.
City will retain 15%of the receipts when Contractor provides sales staff and 20% of the receipts when City provides sales
staff.
Lodging: City will provide hotel accommodations (4 rooms)for Contractor for the nights of Thursday, October 1 and
Friday, October 2, 2015.
Ground transportation: City will provide local ground transportation as needed.
Hospitality: City will provide hospitality as specified in the attached rider.* ,
Billing: "The Kingston Trio."Contractor to receive 100%sole headline billing in all advertising,with exception of season
brochure.
Sponsorship: City reserves the right to obtain corporate sponsor(s)for Contractor's performance.
Exclusivity: Contractor shall not appear in general Seattle/Puget Sound market, Including King, Pierce, Snohomish and
Kitsap Counties, within two-months before or after October 2, 2015, with the exception of venues previously discussed
and mutually agreed upon.
House seats: City will hold ten(10) complimentary house seats for Contractor, to be released 24 hours prior to curtain if
not notified by Artist.
*All as more specifically described to the attached Exhibit B
Contractor further represents that the services furnished under this Agreement will be performed in accordance
with generally accepted professional practices In effect at the time those services are performed.
II. COMPENSATION. The City shall pay Contractor the total sum of $$8,500.00 for the work to be
performed under this Agreement, upon satisfactory completion of all services and requirements specified in this .
Agreement. $4,260.00 will be paid, by City of Kent check, to Producers, Inc. Volt Kingston Trio upon complete execution
of the contract. The balance of$4,250.D0 will be paid, by City of Kent check,to Kingston Trio Productions, LLC on the day
of the performance.
III. PRESS MATERIALS. Contractor agrees.to provide to the City where appropriate, at his or her own
expense, complete press materials, including hard copy or high resolution electronic photographs, biographic
descriptions, and program materials, not less than six (6) weeks prior to the initial event date for the City's use In
promoting the event. All publicity and promotional materials regarding the event released to the media or public by the
Contractor shall credit the City of Kent for its support of the event or project. . i
IV. PERFORMANCE SPACE. The City agrees to furnish, at its sole cost and expense, a place of
performance on the dates) and at the time(s) contained in Section I. The City shall also provide ushers, a house
manager, and box office staff and any additional services and personnel as required by the City, for the efficient operation
of the engagement. Other arrangements will be the responsibility of the City and Contractor as follows below:

Venue: City will provide proscenlum theater: Kentwood High School Performing Arts Center
Sound: City will provide sound system according to Contractor's technical rider.*
Lights: City will provide lighting according to Contractor's technical rider.*
Dressing Rooms: City will provide dressing room facilities according to Contractor's rider.*
Technical Staff: City will provide sound and lighting technicians, and theater manager familiar with facility.
Contractor will provide any other technical staff, including a road manager or technical director,
necessary for the performance.
*All as more specifically described in the attached Exhibit B
V. INDEPENDENT CONTRACTOR. The parties intend that an Independent Contractor-Employer
Relationship will be created by this Agreement. By their execution of this Agreement, and in accordance with Ch. 51.08
RCW, the parties make the following representations:
A. The Contractor has the ability to control and direct the performance and details of its work, the
City being interested only in the results obtained under this Agreement.
B. The Contractor maintains and pays for its own place of business from which Contractor's services
under this Agreement will be performed.
C. The Contractor has an established and independent business that is eligible for a business
deduction for federal income tax purposes that existed before the City retained Contractor's
services, or the Contractor is engaged in an independently established trade, occupation,
profession, or business of the same nature as that involved under this Agreement.
D. The Contractor is responsible for filing as they become due all necessary tax documents with
appropriate federal and state agencies, including the Internal Revenue Service and the state
Department of Revenue.
E. The Contractor has registered Its business and established an account with the state Department
of Revenue and other state agencies as may be required by Contractor's business, and has
obtained a Unified Business Identifier(UBI) number from the State of Washington.
F. The Contractor maintains a set of books dedicated to the expenses and earnings of its business.
The parties Intend that an Independent Contractor-Employer Relationship will be created by this Agreement and that the
Contractor has the ability to control and direct the performance and details of its work, the City being interested primarily
only in the results obtained under this Agreement and compliance with its terms and conditions.
VI. WORK PERFORMED AT CONTRACTOR'S RISK. Contractor shall be responsible for the safety of its
employees, agents, and subcontractors in the performance of the contract work and shall utilize all protection necessary
for that purpose.
VII. INDEMNIFICATION. Contractor shall defend, indemnify and hold the City, its officers, officials,
employees, agents and volunteers harmless from any and all claims, injuries, damages, losses or suits, including all legal
costs and attorney fees, arising out of or in connection with the Contractor's performance of this Agreement, except for
that portion of the injuries and damages caused by the City's negligence, including assertions that the use or transfer of
any software, book, document, report, film, tape or sound reproduction delivered in accordance with this Agreement
constitutes an Infringement of any copyright, patent trademark, trade name, or otherwise results In unfair trade practices.
The City's inspection or acceptance of any of Contractor's work when completed shall not be grounds to avoid any of
these covenants of indemnification.
The provisions of this section shall survive the expiration or termination of this Agreement.
Vill. INSURANCE. The Contractor shall procure and maintain for the duration of the Agreement, insurance of
the types and in the amounts described In Exhibit A attached and incorporated by this reference.
IX. TERMINATION AND BREACH. Either party may terminate this Agreement, with or without cause, upon
providing the other party ninety (90) days written notice at its address set forth on the signature block of this Agreement.
All costs incurred by the City due to Contractor's failure to comply with the terms and conditions of this Agreement shall be
the responsibility of the Contractor. The City may deduct its costs from any payments due to the Contractor or pro-rate
the Agreement amount based upon the actual time of Contractor's performance compared to the contracted performance
schedule.

X. IMPOSSIBILITY OF PERFORMANCE. Indoor performances may be dependent upon a facility which the
CCU may or may not have control over. Outdoor performances are considered "rain or shine." In the event that extreme
inclement weather renders and outdoor performance impossible, or an indoor facility unexpectedly becomes unavailable
the city will attempt to arrange an alternate performance space and Artist will employ Its best efforts to provide the
contract work in that alternate performance space. Neither party shall be under liability for failure to perform in the event
that such failure is caused by or due to acts or regulations of public authorities, civil tumult, strike, epidemic or any other
cause beyond the control of either party. In the event of failure to perform as provided in this section, neither party shall be
liable for the balance of the Agreement.
XI. MISCELLANEOUS PROVISIONS,
A. Discrimination. In the performance of work under this Agreement or any sub-contract, the Contractor
shall not, by reason of race, religion, color, sex, age, sexual orientation, national origin, or the presence of any sensory,
mental, or physical disability, discriminate against any person.
B. Recyclable Materials. Pursuant to Chapter 3.80 of the Kent City Code, the City requires its Contractors to
use recycled and recyclable products whenever practicable. A price preference may be available for any designated
recycled product.
C. Non-Waiver of Breach. The failure of the City to insist upon strict performance of any of the covenants
and agreements contained in this Agreement, or to exercise any option conferred by this Agreement in one or more
instances shall not be construed to be a waiver or relinquishment of those covenants, agreements or options, and the
same shall be and remain in full force and effect.
D. Resolution of Disputes and Governing Law. This Agreement shall be governed by and construed in
accordance with the laws of the State of Washington. If the parties are unable to settle any dispute, difference or claim
arising from the parties' performance of this Agreement, the exclusive means of resolving that dispute, difference or claim,
shall only be by filing suit exclusively under the venue, rules and Jurisdiction of the King County Superior Court, King
County, Washington, unless the parties agree in writing to an alternative dispute resolution process. In any claim or
lawsuit for damages arising from the parties' performance of this Agreement, each party shall pay all its legal costs and
attorney's fees incurred in defending or bringing Such claim or lawsuit, in addition to any other recovery or award provided
by law j provided, however, nothing in this paragraph shall be construed to limit the City's right to indemnification under
Section VII of this Agreement.
E. Written Notice. All communications regarding this Agreement shall be sent to the parties at the
addresses listed on the signature page of the Agreement, unless notified to the contrary. Any written notice hereunder
shall become effective three (3) business days after the date of mailing by registered or certified mail, and shall be
deemed sufficiently given if sent to the addressee at the address stated in this Agreement or such other address as may
be hereafter specified in writing.
F. Assignment. Any assignment of this Agreement by either party without the written consent of the non-
assigning party shall be void. If the non-assigning party gives its consent to any assignment, the terms of this Agreement
shall continue in full force and effect and no further assignment shall be made without additional written consent.
G. Modification. No waiver, alteration, or modification of any of the provisions of this Agreement shall be
binding unless in writing and signed by a duly authorized representative of the City and Contractor.
H. Entire Agreement. . The written provisions and terms of this Agreement, together with any Exhibits
attached hereto, shall supersede all prior verbal statements of any officer or other representative of the City, and such
statements shall not be effective or be construed as entering into or forming a part of or altering in any manner this
Agreement. All of the above documents are hereby made a part of this Agreement. However, should any language In
any of the Exhibits to this Agreement conflict with any language contained in this Agreement, the terms of this Agreement
shall prevail.
I. Compliance with Laws. The Contractor agrees to comply with all federal, state, and municipal laws, rules,
and regulations that are now effective or in the future become applicable to Contractor's business, equipment, and
personnel engaged in operations covered by this Agreement or arising out of the performance of this Agreement.
J, City Business License Required. Prior to commencing the tasks described in Section I, Contractor agrees
to provide proof of a current city of Kent business license pursuant to Chapter 5,01 of the Kent City Code.
K. Counterparts. This Agreement may be executed In any number of counterparts, each of which shall
constitute an original, and all of which will together constitute this one Agreement.

5. IMPORTANT REQUIREMENTS:
ARTIST to provide sellers for merchandise sales and will retain 85%and FACILITY to receive 15%of all proceeds,
ARTIST agrees to attend a Meet&Greet,if requested.
6. RADIUS RESTRICTION:Artist will not perform any other engagements in the general Scuttle/Puget Sound market during the Sept.2015-August
2016 season,including King,Pierce,Snohomish and Kitsap Counties,with the exception of the venues perviously discussed and mutually agreed upon,
including Olympia,WA,
7. VALIDITY OF AGREEMENT: The validity,construction and effect of this agreement shall be governed by the laws of the State of California.

ADDITIONAL TERMS: These terms and the attached addenda are a part of the Basic Agreement.
f. In addition PRESENTER will provide and pay for local production and all technical and production requirements included in the attached ARTIST

5. All notices required hereunder shall be given In writing to AGENCY at address below. All printed programs shall prominently display"By
special arrangement with Producers,Incorporated."
6. In the event AGENCY/ARTIST does not receive full payment of compensation promptly as herein provided or in the event that PRESENTER
fails,refuses or neglects to provide any material items herein stated,or to proceed with the performance(s)hereto,or fails to perform any other
obligation undertaken herein,ARTIST shalt have no obligation to perform this agreement and shalt have the sole option and right to refuse to
present,allow to be presented,or to complete any performance and the PRESENTER shall,nevertheless,remain liable to ARTIST for the full
contract price set forth hereunder.
7. FORCE MAJEURE: In the event of sickness or accident to ARTIST,or if a performance is prevented,rendered impossible or infeasible by
any act or regulation of any public authority,civil tumult,stoke,epidemic,war conditions or emergencies,interruption in or delay of ',
transportation services,or my cause beyond control of ARTIST or PRESENTER,it is understood and agreed that there shall be no claim for
damages by either party to this agreement,and ARTIST's obligation to perform shall be deemed waived. In the event of such non performance
for any of the reasons stated in this paragraph,or in the event ARTIST exercises a cancellation provision which might appear elsewhere in this
Agreement,the moneys advanced to ARTIST hereunder,shall be returned,except any expense ARTIST has incurred specifically for this
engagement when ARTIST was otherwise ready,willing and able to perform,shall be deducted from the amount to be returned, For concerts
presented in outdoor facilities,inclement weather,(with the exception of catastrophic storms)shalt not be deemed reason to exercise this
provision,and ARTIST shall be paid,rain or shine. ARTIST shall have sole discretion in determining potential hazard and whether to
perform.)Poor ticket sales shall not be a cause for cancellation.
8. POSTPONEMENT: In the event PRESENTER requests a postponement of this engagement(and ARTIST agrees to postpone),
PRESENTER will be required to reimburse ARTIST for any expenses incurred,payment for which shall be immediately sent to AGENCY,and
the fee for the new date shall be subject to reasonable renegotiation.
9. ASSIGNMENTS: ARTIST signs this agreement as an independent contractor and not as an employee.This agreement shalt not in any way be
construed so as to create a partnership,or any other kind ofjoint undertaking or venture between the parties hereto.
10. PRESENTER agrees to comply with all regulations and requirements of any national or local union(s)that have provenjmisdiction over any of
the materials,facilities,services and personnel to be furnished by PRESENTER
11, It shall be assumed that PRESENTER accepts all the terms of this agreement if this agreement is not returned to AGENCY by April 15,2015
PRESENTER agrees to promptly complete and return to AGENCY the Information Sheet for Artist which accompanies this Agreement.
12. AGENCY PROVISIONS:
a. For the purposes of this engagement,ARTIST and PRESENTER hereby appoint AGENCY to represent them as agent for the dates
covered by this Agreement,
b. AGENCY is acknowledged to have fully performed its obligations upon the commencement of this engagement. It shall not be liable for
the default of PRESENTER or the non performance of ARTIST. However,in the event of cancellation by ARTIST,AGENCY will be
granted the right to attempt to provide a comparable artist,acceptable to PRESENTER. AGENCY shall collect and hold advanced funds
deposited by the PRESENTER until ARTIST has fulfil led the terms of this agreement,and shall be authorized to withhold from said
deposit funds the commission due from ARTIST,or,At the written request of AGENCY,PRESENTER shall withhold from ARTIST's
payment the amount of AGENCY's commission due for this engagement.
c. No member of ARTIST's entourage is an employee or agent of AGENCY.
d. These agencyprovisions of this agreement contain the understanding between ARTIST and AGENCY and may not be altered by ARTIST
and/or PRESENTER without the prior discussion and approval,in writing,of AGENCY,
13. AGREEMENT PROVISIONS:
a. This Agreement cannot be assigned or transferred without the written consent of the parties hereto.It contains the complete understanding of
the parties hereto,and may not be amended,supplemented,varied or discharged,except by an instrument in writing which is signed by all
parties.
b. No party to this agreement shall make any strike through or addition on this Basic Agreement or addenda prior to the mutual agreement to
any such alteration by all parties hereto. ANY ADDITIONAL ADDENDUM(A)ATTACHED AND INITIALED BY THE PARTIES
HERETO IS/ARE HEREBY MADE A PART OF THIS BASIC AGREEMENT.

THIS RIDER IS ATTACHED TO AND HEREBY MADE A PART OF THE CONTRACT DATED March 3,2015 BETWEEN

COMMISSION(HEREIN REFERRED TO AS"PURCHASER")FOR A PERFORMANCE ON OCTOBER 2,2015
1. BILLING: It is understood and agreed that ARTIST shall receive 100%main attraction billing in all manner and forms of advertising.
2. ACCOMMODATIONS: PURCHASER agrees to furnish,at PURCHASER's sole cost and expense,four(4)single rooms at the nearest
FIRST CLASS hotel to the performance site for two nights.
a.ARTIST's interpretation of"FIRST CLASS hotel"is a facility that includes a restaurant,lounge and room service,as well as cable or
satellite television and 24-hour telephone service in each room.
b.In a two-story hotel or a hotel without an elevator,ARTIST requires ground floor room,
3. TRANSPORTATION: It is understood and agreed that PURCHASER shall supply internal ground transportation at PURCHASER's sole
cost and expense between the airport and the hotel(for arrivals and departures)and between the hotel and the venue(before and after sound
check and before and after the performance.) Please be aware that this is a party of four(4)people traveling with eleven(11)pieces of
luggage,including musical instruments. A 15-passenger van with the rear seat removed is preferred. Please-no hotel shuttle.
ARTIST has a right to ask for$250.00 buyout for local ground transportation,
4. DRESSING ROOM: PURCHASER shall provide a well-lighted dressing room(or rooms)within close proximity of the stage.
a. Such dressing room(s)must have adjacent rest room facilities designated for the sole use of ARTIST.
b. PURCHASER agrees to provide two(2)tables,approximately 8 feet by 2.5 feet,for the purpose of accommodating four(4)guitarlbanjo
cases. If such tables are not available,please ensure that the dressing room($)will accommodate the instrument cases with sufficient
counter-top space.
c. PURCHASER agrees to supply the dressing room(or in the case of multiple dressing rooms,a Green Room or common area)with twelve
(12)or more 500ml-bottles of chilled Evian water(or comparable brand of bottled non-carbonated spring water),coffee(with creamer and
sugar),hot water for tea and cups.
5. MEAL: ARTIST requests a hot meal between the end of sound check and the commencement of the show. Al the venues discretion this
could either be catered,or the venue can provide a selection of menus from nearby restaurants. If catered,please check with ARTISTS
management to ensure that the meal as planned is satisfactory to the ARTIST(note: ARTIST has no dietary restrictions),
6. TECHNICAL PROVISIONS: Please see attached addendum for a complete list of equipment and technical services required to produce
ARTIST's show. Please insure that a copy of the attached addendum is delivered to the stage manager or technical crew well in
Advance of the engagement.
7. RECORDING; No audio or video recording equipment will be permitted in the performance area without prior approval by George Grove,
This applies to news media,house and technical personnel as well as to patrons.
8. INTERVIEWS: All interviews,promotional appearances and autograph sessions must be scheduled one week in advance of the engagement
and must be cleared with George Grove of THE KINGSTON TRIO. None of these activities should be scheduled prior to I1:00AM.
9. CANCELLATION: ARTIST shall have the right to cancel or terminate this engagement upon written notice to PURCHASER not later than
thirty(30)days prior to the date of the engagement.
10. PAYMENT: PURCHASER shall pay the balance due on the contract by University check made payable to KINGSTON
TRIO PRODUCTIONS.LLC(Federal Employer I.D.#46-0487654)prior to the frost performance.
11, COMPLIMENTARY TICKETS: ARTIST is to have Tan(10)of the top priced tickets available for each performance at no charge.
12• MERCHANDISE: PURCHASER agrees and guarantees that ARTIST shall have the sole and exclusive right but not the obligation to sell
souvenir items,including but not limited to CDs,cassettes,videos,apparel,etc. ARTIST shall be entitled to 83%of sales receipts for such
items unless previous wrile m arrangements have been made prior to the day of the performance. ARTIST requests that an 8-foot table be
provided for this purpose. ARTIST will handle sales.

ADDENDUM TO ATTACHED RIDER AND CONTRACT FOR SERVICES OF THE KINGSTON TRIO
The following is a list of technical equipment and services required for productions of THE KINGSTON TRIO's show,as
accepted and agreed to by PURCHASER under Paragraph 6 of the attached Rider, All of the following are to be provided at
PURCHASER's sole cost and expense:
1. P.A.SYSTEM: The best professional quality equipment available,to include:
a. Mixing console(10-channel minimum)with discrete monitor mix capability.
b. Graphic equalizer(10-band minimum)for monitor mix.
c. Adequate power and full-range speaker coverage to fill the performance area with clean,professional sound amplification
at a comfortable volume level.
d. Three(3)floor monitor speakers on stage.
e. Three(3)vocal mics(Shure SM-58 or comparable)on boom stands.
f. Three(3)instrument mics (Shure SM-57 or comparable-please-no condenser mics)on straight stands with round
bases.
g, One(1)mic or D.I,for the bass amplifier.
E A professional audio mixing person or crew.
2. BACK LINE:
a Bass Amplifier: Gallien-Krueger 800 head with a Guild-Hartke 410 speaker cabinet(or something comparable.)
Please—no Fender or Peavey.
b. Professional level acoustic upright bass, needs to have....4 good quality steel or gut/steel strings tuned In fourths,
E,A,D,G standard tuning, an adjustable bridge, a functional end pin with an attached rubber stop and a professional
quality French or German style bass bow.
3. ON STAGE:
a. One(1)small table,draped with dark cloth,upstage from performers. (Purpose:to hold the drinking water,)
b. Four(4)bottles of Evian water(or comparable brand of bottled spring water)or a pitcher of spring water with four(4)
glasses. Bottled water should be at room temperature or,if refrigerated,bottles must be wiped dry prior to placing them
on stage,
c. One(1)padded piano bench,placed 3 feet stage right of the bass amplifier. (Purpose:to act as an"instrument table.")
4.LIGHTING:
Full front wash covering the entire stage area. Additional stage lighting and back lighting to taste. We have no specific
lighting cues,but we do request no abrupt changes during songs,no flashing"disco"lighting or strobes and no green
spotlights,

This is an OVERHEAD view.
Please note the close-in semi-circle setup with outside mice angled 80'frQm axis and arc set about
1'41 ahead of center mic, Vocal mic heads,should be about 3'apart. Monitor speakers should be
touching each other. Please use round-based mic stands-NOT TRIPODS-particularly on the
stands for the instrument mice, Please do not wrap the mic cords ground the stands)
MIXING INSTRUCTIONS FOR THE KINGSTON TRIO
MONITOR MIX:Please rind out the system With equalizer prior to sound check. Roll off 150to
250 Hz dramatically and take a dip at 1K, (other potential problem frequencies for us are 6K,
6.3K and 8K, Try sotto dip much with these frequencies,though,as we do need the"presence"
they offer) We prefer a bright monitor EQ. Mix the three vocal mice at matching gain and tone
settings. Mix the1hree Instrument mice at matchIng gain and tone settings (rolling off most or all
low and to avoid the proximity effect.) Please provide ONE MIX to all monitor speakers with
onI I y the front six mice(three vocals and three acoustic Instruments) In that,mix, DO NOT run
three separate mixes and hope to match them-this doesn't work for us and it's Much harder on
you. Finetunlngof the moh[tor mix will be done at sound check and should take between fifteen
and thirty minutes.
HOUSE MIX: Set comfortable volume levels and "natural"tone setting's on the front six mlos
with vocals riding just slightly above the acoustic,instruments In volume. Bland the bass into the
mix to taste. RemembeL This Is an acoustic act, not rock, so the vocals and acoustic
Instruments must be featured in the mix. Once levels are set and the mix seems well-balanced
(usually by the end of the first or second number) we request that no further adjustments be
made(unless,of course,there is an obvious imbalance orfeedback problem.) Please clo not try
to reach for vocals or Instruments that are off rnIc-we prefer to Move In and out of the mics,
mixing ourselves(for better or worse]) Also,please do not drop levels on mlosthat are riot being
used at any particular moment. Please do net use,any effects such as digital delay or chorus.
Reverb(to taste)Is appreciated,but should be dropped during spoken portions of the show.
