CONSULTANT SERVICES AGREEMENT (between City of Kent and Catholic Community Services) I THIS AMENDMENT AND RATIFICATION OF CONSULTANT SERVICES AGREEMENT ("Amendment") is made between. the CITY OF KENT, a Washington municipal corporation ("City"), and CATHOLIC COMMUNITY SERVICES, a Washington corporation ("Consultant"). I. RECITALS 1.1 City entered into a Consultant Services Agreement ("Agreement") with the Catholic Community Services December 4, 2009, wherein the City agreed to contract with Catholic Community Services for its consultation services with respect to staffing the severe weather shelter at 336 2nd Avenue South, Kent, Washington 98032. 1.2 Since executing the original Agreement, $2,918.39 was expended during the term of the Agreement. 1.3 The parties acknowledge that the Agreement terminated by its own terms on March 31, 2013. However, the City and Consultant express their mutual intent and desire to reinstate the Agreement; extend its term through October, 31, 2016; and amend the work to include additional duties to be performed in accordance with the same provisions set forth in the original Agreement, except as modified within this Amendment. In addition, the parties wish to ratify and affirm any and all acts consistent with the authority of the Agreement and prior to the effective date of this Amendment. II. AMENDMENT NOW THEREFORE, in consideration of the mutual intent, desire, and promises of the parties and other good and valuable consideration, City and Consultant agree as follows: 2.1 Agreement - Reinstated. The Agreement, which terminated by its own terms on March 31, 2014, is hereby ratified, renewed, and reinstated. The term of the Agreement is hereby extended through October 31, 2016. All acts consistent with the authority of the Agreement and prior to the effective date of this Amendment are hereby ratified and affirmed, and the terms of the Agreement and this Amendment shall be deemed to have applied. 2.2 Additional Services to be Performed. Consultant shall perform the following additional services in accordance with the same provisions set forth in the original Agreement: Catholic Community Services, with volunteers from Kent Lutheran Church, will provide a maximum of 400 hours staffing to the severe weather shelter at 336 2nd Ave South, Kent, WA 98032 between November 2014 and October 2016. This shelter will be activated by the City of Kent Housing and Human Services Manager when temperatures fall below 32 degrees for 24 or more consecutive hours AND/OR snow accumulation exceeding or expected to exceed three inches in depth AND/OR other conditions deemed severe enough to present a substantial threat to life or health of homeless persons. AMENDMENT AND RATIFICATION OF GOODS& SERVICES AGREEMENT- I (City of Kent and Catholic Community Services) i i I 2.3 Insurance. At the time Consultant executes this Amendment, it shall provide the City with an updated Certificate of Insurance evidencing insurance coverage in the types and amounts set forth in Exhibit B to the original Agreement. In addition, Consultant shall also provide an endorsement naming the City as an additional insured under the Consultant's Commercial General Liability coverage for the duration of the Agreement, as extended by this Amendment. j 2.4 Remaining Provisions. Except as specifically amended by this Amendment, all remaining provisions of the Agreement shall remain in full force and effect. An affirmative response is required on all of the following questions for this Agreement to be valid and binding. If any contractor, subcontractor or supplier willfully misrepresents themselves with regard to the directives outlines, it will be considered a breach of contract and it will be at the City's sole determination regarding suspension or termination for all or part of the Agreement; The questions are as follows: 1. Before acceptance of this Agreement, an adherence statement will be signed by me, the Prime Contractor, that the Prime Contractor complied with the requirements as set forth above.
