SETTLEMENT AGREEMENT AND RELEASE OF CLAIMS
This Settlement Agreement and Release of Claims ("Agreement") is entered into
between the city of Kent, a municipal corporation ('City ) and Eagle Creek Land
and Development, LLC ('Eagle Creek ) a Washington corporation. The City and
Eagle Creekare sometimes referred to collectively as the"Parties."
On December 20, 2006, the city of Kent Hearing Examiner Issued a document
entitled, "Findings, Conclusions, and Decision" (hereinafter "Decision ) regarding
the Planned Unit Development ("PUD") for Sunrise Meadows (PUD-2005-4, KIVA
#2054209; SU-2005-17, KIVA #2054210) (hereinafter, "Sunrise Meadows
PUD"). The Decision was not appealed.
On December 9, 2013, the City received a Claim for Damages submitted by
Eagle Creek Land and Development, LLC,owners of the Sunrise Meadows PUD
and the property to which the Sunrise Meadows PUD applies. Appended to the
claim was a seven page letter, with numerous attachments, from attorney Bill
Williamson. This was the same letter and attachments received by Mr.
Williamson on November 22, 2013.
The letter and claim for damages alleged the City had improperly demanded or
required that, prior to construction or bonding,Eagle Creeksubmit engineering
drawings to lower the grade of SE 248th Street which would have required the
relocation of underground utilities, and construct certain intersection
Improvements at SE 248th Street and 120th Ave SE. The letter and claim
asserted that these demands or requirements were not supported by Section B.3
of the Decision (section B.3 starts on page 12 of the Decision)
The parties have negotiated a resolution of this matter that will result in the
satisfaction of all claims that Eagle Creek asserted or could have asserted against
the City. Therefore, the Parties, Intending to be legally bound, agree as follows:
The Parties have agreed to engineering drawings as approved by the City on
February 19, 2014, as satisfaction of Section B.3 of the Decision (starting on
page 12 of the Decision). Copies of those drawings are attached hereto as
Exhibits 1-31 To the extent the engineering drawings set forth in Exhibit 1-31
call for changes to the conditions required of Section B.3 of the Decision, the
changes are considered minor alterations and a final decision under KCC
12.04.227, KCC 12.01.040, and KCC 12 01.190, and shall alsoconstitute the
waiver of any right to appeal as permitted by the Revised Code of Washington or
the Kent City Code.
By accepting the engineering drawings submitted by Eagle Creek and set forth in
Exhibits 1-31, the parties agree that the requirements of section B.3 of the
Decision (starting on page 12 of the Decision),have been satisfied by Eagle Creek
on behalf of the project permit applicant.

Eagle Creek agrees that the acceptance of the engineering drawings approved by
the City on February 19, 2014, shall constitute a release and full satisfaction of
all claims,demands, causes of action, obligations, damages and liabilities against
the City, whether known or unknown, and whether or not stated in the claim for
damages received on December 9, 2013, or in the letter of Mr. Williamson dated
November 22, 2013, relating to the development or conditions of development of
the Sunrise Meadows PUD.
This Agreement shall be binding upon Eagle Creek and any purchasers or future
owners of the property subject to the Sunrise Meadows PUD, as well as the heirs,
legal representatives, successors and assigns of Eagle Creek.
Eagle Creek agrees that this Agreement is not an admission by the City that it, or
any of its employees, agents, elected officials or volunteers, has violated any
law, policy or contract or failed to fulfill any duty to Eagle Creek.
This Agreement. (i) represents the entire understanding of the Parties with
respect to the subject matter covered; (ii) supersedes all prior and
contemporaneous oral understandings with respect to such subject matter; and
(w) may only be amended in a writing signed by each of the Parties.
By affixing a signature below, those signing for Eagle Creek affirm that the
representations made herein are true and correct, and that they have the
authority to sign this Agreement and bind Eagle Creek to its terms and
conditions.
