CONTRACTOR SERVICES AGREEMENT
between the City of Kent and
Bettye LaVette c/o The Rosebud Agency
THIS AGREEMENT is made between the City of Kent, a Washington municipal corporation (hereinafter the
"City"), and Bettye LaVette, c/o The Rosebud Agency located and doing business at P.O. Box 170429, San Francisco,
CA 94117, 415-386-3456 (hereinafter the"Contractor")
I. DESCRIPTION OF WORK.
Contractor shall perform the following services for the City.
Description: Bettye LaVette (hereinafter referred to as"Contractor")will present one public
performance as part of the Kent Arts Commission's"Spotlight Series"
Start Time/Duration/Stop Time: 7 30 p m/90 minutes, no intermission/9 00 p m
Day, Date,Year: Saturday, March 10, 2012
Event Location: Kentwood High School Performing Arts Center, 25800 164`h Ave SE, Covington,
WA 98042
Merchandising: Contractor shall have the sole and exclusive right, but not obligation, to sell
souvenir posters, programs, CDs, DVDs and other merchandise directly
pertaining to and/or bearing the likeness of the Contractor at the performance
City will retain 15% of the receipts when Contractor provides sales staff and 20%
of the receipts when City provides sales staff
Lodging: City will provide six (6) hotel rooms on the night of Saturday, March 10, 2012
Ground Transportation: City will provide ground transportation to and from the Seattle airport, hotel and
venue as needed
Meal(s): City will provide a meal and refreshments as specified in the attached rider
Billing: "Bettye LaVette " Contractor to receive 100% sole headline billing in all
advertising, with exception of season brochure
Sponsorship: City reserves the right to obtain corporate sponsor(s)for Contractor's
performance
Exclusivity: Contractor shall not appear in general Seattle/Puget Sound market, including
King, Pierce, Snohomish and Kitsap Counties, within two-months before or after
March 10, 2012, with the exception of venues previously discussed and mutually
agreed upon
House seats: City will hold ten (10) complimentary house seats for Contractor, to be released
24 hours prior to curtain if not notified by Contractor
*The attached rider is part of this agreement
Contractor further represents that the services furnished under this Agreement will be performed in accordance
with generally accepted professional practices in effect at the time those services are performed
H. COMPENSATION. The City shall pay Contractor the total sum of $10,000.00 flat for the work to be
performed under this Agreement, upon satisfactory completion of all services and requirements specified in this
Agreement A 25% deposit of $2,500 00 will be paid, by City of Kent check, to The Rosebud Agency upon complete
execution of contract The balance of $7,500 00 will be paid, by City of Kent check, to Bettye LaVette on the day of the
performance

Ill. PRESS MATERIALS. Contractor agrees to provide to the City where appropriate, at his or her own
expense, complete press materials, including hard copy or high resolution electronic photographs, biographic
descriptions, and program materials, not less than six (6) weeks prior to the initial event date for the City's use in
promoting the event All publicity and promotional materials regarding the event released to the media or public by the
Contractor shall credit the City of Kent for its support of the event or project
IV. PERFORMANCE SPACE. The City agrees to furnish, at its sole cost and expense, a place of
performance on the date(s) and at the time(s) contained in Section I The City shall also provide ushers, a house
manager, and box office staff and any additional services and personnel as required by the City, for the efficient operation
of the engagement Other arrangements will be the responsibility of the City and Contractor as follows below
Venue: City will provide proscenium theater Kentwood High School Performing Arts Center
Sound: City will provide sound system and backline according to Contractor's technical rider
Lights: City will provide lighting according to Contractor's technical rider*
Dressing Rooms: City will provide dressing room facilities according to Contractor's rider
Technical Staff: City will provide sound and lighting technicians, and theater manager familiar with facility
Contractor will provide any other technical staff, including a road manager or technical director,
necessary for the performance
*The attached rider Is part of this agreement
V. INDEPENDENT CONTRACTOR. The parties intend that an Independent Contractor-Employer
Relationship will be created by this Agreement By their execution of this Agreement, and in accordance with Ch 51 08
RCW, the parties make the following representations
A. The Contractor has the ability to control and direct the performance and details of its work, the
City being interested only in the results obtained under this Agreement
B. The Contractor maintains and pays for its own place of business from which Contractor's services
under this Agreement will be performed
C The Contractor has an established and independent business that is eligible for a business
deduction for federal income tax purposes that existed before the City retained Contractor's
services, or the Contractor is engaged in an independently established trade, occupation,
profession, or business of the same nature as that involved under this Agreement
D. The Contractor is responsible for filing as they become due all necessary tax documents with
appropriate federal and state agencies, including the Internal Revenue Service and the state
Department of Revenue
E. The Contractor has registered its business and established an account with the state Department
of Revenue and other state agencies as may be required by Contractor's business, and has
obtained a Unified Business Identifier(UBI) number from the State of Washington
F. The Contractor maintains a set of books dedicated to the expenses and earnings of its business
The parties intend that an Independent Contractor-Employer Relationship will be created by this Agreement and that the
Contractor has the ability to control and direct the performance and details of its work, the City being interested primarily
only in the results obtained under this Agreement and compliance with its terms and conditions
VI. WORK PERFORMED AT CONTRACTOR'S RISK. Contractor shall be responsible for the safety of its
employees, agents, and subcontractors in the performance of the contract work and shall utilize all protection necessary
for that purpose
VII. INDEMNIFICATION. Contractor shall defend, indemnify and hold the City, its officers, officials,
employees, agents and volunteers harmless from any and all claims, injuries, damages, losses or suits, including all legal
costs and attorney fees, arising out of or in connection with the Contractor's performance of this Agreement, except for
that portion of the injuries and damages caused by the City's negligence, including assertions that the use or transfer of
any software, book, document, report, film, tape or sound reproduction delivered in accordance with this Agreement
constitutes an infringement of any copyright, patent trademark, trade name, or otherwise results in unfair trade practices
The City's inspection or acceptance of any of Contractor's work when completed shall not be grounds to avoid any of
these covenants of indemnification
The provisions of this section shall survive the expiration or termination of this Agreement

Vill. INSURANCE. The Contractor shall procure and maintain for the duration of the Agreement, insurance of
the types and in the amounts described in Exhibit A attached and incorporated by this reference
IX. TERMINATION AND BREACH. Either party may terminate this Agreement, with or without cause, upon
providing the other party ninety (90) days written notice at its address set forth on the signature block of this Agreement
All costs incurred by the City due to Contractor's failure to comply with the terms and conditions of this Agreement shall be
the responsibility of the Contractor The City may deduct its costs from any payments due to the Contractor or pro-rate
the Agreement amount based upon the actual time of Contractor's performance compared to the contracted performance
schedule
X. IMPOSSIBILITY OF PERFORMANCE. Outdoor performances are considered "rain or shine" In the
event that extreme inclement weather renders an outdoor performance impossible, the City will attempt to arrange an
alternate performance space and Contractor will employ its best efforts to provide the contract work in that alternate
performance space Neither party shall be under liability for failure to perform in the event that such failure is caused by
or due to acts or regulations of public authorities, civil tumult, strike, epidemic or any other cause beyond the control of
either party In the event of a failure to perform as provided in this section, neither party shall be liable for the balance of
the Agreement
XI. MISCELLANEOUS PROVISIONS.
A Discrimination In the performance of work under this Agreement or any sub-contract, the Contractor
shall not, by reason of race, religion, color, sex, age, sexual orientation, national origin, or the presence of any sensory,
mental, or physical disability, discriminate against any person
B Recyclable Materials Pursuant to Chapter 3 80 of the Kent City Code, the City requires its Contractors to
use recycled and recyclable products whenever practicable A price preference may be available for any designated
recycled product
C Non-Waiver of Breach The failure of the City to insist upon strict performance of any of the covenants
and agreements contained in this Agreement, or to exercise any option conferred by this Agreement in one or more
instances shall not be construed to be a waiver or relinquishment of those covenants, agreements or options, and the
same shall be and remain in full force and effect
D Resolution of Disputes and Governing Law This Agreement shall be governed by and construed in
accordance with the laws of the State of Washington If the parties are unable to settle any dispute, difference or claim
arising from the parties' performance of this Agreement, the exclusive means of resolving that dispute, difference or claim,
shall only be by filing suit exclusively under the venue, rules and jurisdiction of the King County Superior Court, King
County, Washington, unless the parties agree in writing to an alternative dispute resolution process In any claim or
lawsuit for damages arising from the parties' performance of this Agreement, each party shall pay all its legal costs and
attorney's fees incurred in defending or bringing such claim or lawsuit, in addition to any other recovery or award provided
by law, provided however, nothing in this paragraph shall be construed to limit the City's right to indemnification under
Section VII of this Agreement
E Written Notice All communications regarding this Agreement shall be sent to the parties at the
addresses listed on the signature page of the Agreement, unless notified to the contrary Any written notice hereunder
shall become effective three (3) business days after the date of mailing by registered or certified mail, and shall be
deemed sufficiently given if sent to the addressee at the address stated in this Agreement or such other address as may
be hereafter specified in writing
F Assignment Any assignment of this Agreement by either party without the written consent of the non-
assigning party shall be void If the non-assigning party gives its consent to any assignment, the terms of this Agreement
shall continue in full force and effect and no further assignment shall be made without additional written consent
G Modification No waiver, alteration, or modification of any of the provisions of this Agreement shall be
binding unless in writing and signed by a duly authorized representative of the City and Contractor
H Entire Agreement. The written provisions and terms of this Agreement, together with any Exhibits
attached hereto, shall supersede all prior verbal statements of any officer or other representative of the City, and such
statements shall not be effective or be construed as entering into or forming a part of or altering in any manner this
Agreement All of the above documents are hereby made a part of this Agreement However, should any language in
any of the Exhibits to this Agreement conflict with any language contained in this Agreement, the terms of this Agreement
shall prevail
I Compliance with Laws The Contractor agrees to comply with all federal, state, and municipal laws, rules,
and regulations that are now effective or in the future become applicable to Contractor's business, equipment, and
personnel engaged in operations covered by this Agreement or arising out of the performance of this Agreement

This nder regarding the Bettye LaVette(hereinafter referred to as Artist)engagement is herein made a part of the attached
contract Purchaser agrees to meet the following requirements at his/her expense
1.ARTIST BILLING AND PROMOTION
A In all headline situations,Artist shall receive 100%headline billing In all headline situations,
other acts on bill must be cleared through Artist's agency prior to confirmation of support act When not
headlining,Artist shall always receive Special Guest billing
B In all advertising and publicity,Artist shall be billed as:

C Radio Station or Product Copresents,Promoter Copresents Any proposal for copresentahon of
this show including any tie-in with radio,TV,newspaper or product must be cleared with and approved by
Artist's representative prior to any confirmation of such tie-in,copresent or copromote Also,any copromote
situation with any promoter other than contract signer as shown on the contract face will first require written
approval of Artist's representative
2.GENERAL REQUIREMENTS
CONTRACTUAL OBLIGATIONS
A Contract and this Rider may not be changed,modified or altered except by an instrument in writing signed by both parties.
Nothing herein shall require the commission of any act contrary to law,or any other rule or regulation of any union,guild or
similar body having jurisdiction over the services of Artist or over the performances hereunder,and whenever or wherever
there is any conflict between any provision hereof and any law,rule or regulation,then such law shall prevail and the
Contract and this Rider shall be curtailed,modified or limited only to the extent necessary to eliminate such conflict
B Purchaser hereby warrants and represents that he has received permission and appropriate licenses from authority
controlling the facility in which the engagement is to be held in order to promote this concert If for any reason the
permission and/or licenses for this engagement are canceled by the issuing authorities,Artist shall,nevertheless,be paid the
full Contract price It is specifically understood and agreed that Purchaser's obligations hereunder to pay Artist shall not be
modified or affected
C In the event of illness or incapacity of any member of Artist entourage,they shall not be required to perform the
engagement,in which event,any monies heretofore paid by Purchaser for the engagement shall be returned to Purchaser and
neither party hereto nor Artist shall be under further obligation to each other regarding the engagement
D Artist shall have the right to terminate his performance and/or cancel this Contract without liability if in their sole and
absolute judgment,nots or civil disorder might endanger the life or safety of members of the Artist entourage
E In the event Artist and/or his required equipment are unable to appear at the place where the engagement is to be held due
to the unavailability of timely transportation beyond the control of Artist then such failure to appear shall not be deemed a
breach of this Agreement and Artist shall not be required to perform this engagement In such event,any monies heretofore
paid shall be returned to the Purchaser and neither party hereto shall owe any further obligation to the other hereunder
F.Artist reserves the right to cancel the Contract no later than thirty(30)days prior to the play date for any reason,by notice
in writing to Purchaser
G.If,on or before the date of any scheduled performance hereunder,the financial standing or credit of Purchaser has been
impaired or is unsatisfactory,Artist shall have the right to demand payment forthwith of the guaranteed compensation
specified herein and if Employer fails or refuses to make such payments forthwith,Artist shall be relieved of any further
obligation for this engagement and all monies received by Artist shall be returned and Artist shall not forfeit any other
remedies available

H The Artist will not accept the responsibility for any charges incurred by the Purchaser in supplying all Rider requirements
including stagehands,overtime,transportation,etc
I.Purchaser agrees to contact The Rosebud Agency regarding any difficulties in meeting the above
contract or rider requirements
PAYMENT AND TICKETING
A.Unless otherwise stipulated,a deposit shall be made payable and sent directly to THE ROSEBUD AGENCY in the form
of a bank transfer,cejtif➢ed check.-cesli c� order,upon signing of Contract.
B If contract calls for Artist to receive an admission percentage ion or bonuses,Purchaser agrees
that immediately upon completion of closure of box office,Purchaser shall furnish Artist with a full and complete accounting
of admissions and additional percentage monies due Artist Expenses are not to exceed original budget without prior
authorization from Artist's Representative The balance,including percentages,if applicable,are to be made in cash only,
upon completion of performance
C Artist shall have the right to set a limit to the number of free admissions authorized by Purchaser.
Purchaser agrees that at no time will the number of houseguests be in excess of twenty(20)people Seating for the purchaser
comps should not be at immediate front of house
D There will be no change in ticket price or number of tickets sellable without the permission of The

E Purchaser agrees to make available to Artist at no charge to Artist up to M! `rri�i've jZ7(J of the
best seats in the house(middle row center),for Artist's guests at the request of Artist's Representative
3.SOUND CHECK/REHEARSAL A sound check/rehearsal will be required on the day of performance After the stage is
set and all equipment is in operating order,the sound check/rehearsal should last no less than two(2)hours during which
time Artist shall have the exclusive use of the stage and sound facilities Sound check shall occur prior to the opening of the
house
Artist shall have the sole and exclusive control over the production,presentation and performance of engagement hereunder.
4.LIGHTING Purchaser will supply general lighting system with a qualified lighting technician available from
load-m throughout the performance.
5.DRESSING ROOM Purchaser will provide two(2)clean,lockable,private dressing rooms The band's need to be large
enough to comfortably accommodate six(6)people(or nine people if Bettye LaVette has a hom section)and Bette LaVette's
dressing room needs to accommodate two(2)people If Bettye LaVette has background singers then a 3rd dressing rooms
large enough for 3 people need to be provided by Purchaser Dressing room shall be locked and guarded when Artist is on
stage Dressing room shall have minors and be well lit with heat and air conditioning as appropriate to provide comfortable
room temperature Dressing rooms must be accessible from load in to departure
This area will be a non-smoking area for the Bettye LaVette and her band Please be sure that room is ready and catered for
band's arrival to venue
6.SECURITY Purchaser shall provide proper security to ensure the safety of the Artist and Artist's equipment at all times,
before,during and after performance
7.SOUND SYSTEM AND STAGE Purchaser will supply a first-class sound system,at no cost to Artist,
including

Purchaser will provide a secure and adequately lit storage and work area

NOTE:Bettye uses a handheld microphone(Purchaser supplies)and as she uses the full width of the stage
PLEASE no wedges in front of Bettye Side fills ONLY for her!
Two(2)helpers for load in and load out,approximately thirty(30)minutes prior to sound check and immediately following
the close of the show until the load out is completed
The venue sound engineer should be available during load in and during entire show to assist Artist's sound engineer The
venue's sound engineer will be responsible for monitor mixing during the entire show

All changes and/or removal of musical instruments,gear,sound equipment(microphones,monitors,etc)and/or staging

9.PARKING Purchaser shall provide parking space for two cars or vans in close proximity and with direct
access to the stage door when Artist is driving
If artist is driving,purchaser shall provide SECURE parking for artist's 24'bus in close proximity to the venue There should
also be parking with direct access to the stage door for unloading
Please make sure there is adequate parking and alert artist's representative to any problems which you may anticipate
regarding the above
10.CATERING Purchaser agrees to provide
Balanced hot meals for six(6)persons,(nine(9)persons if Bettye LaVette's band has a hom section and twelve(12)persons
if band has a hom section and background singers)or a food allowance of$15 00 per person Balanced meal includes entree,
potato or rice,steamed vegetables,salad,bread
Please no deep-fried foods
Purchaser also agrees to provide the following in the dressing room:
Assorted fresh fruit and dried fruit
Six(6)bottles of spring water
Assorted soda,fruit juices,coffee and tea

11.HOTEL/AIR TRAVEL-IF SPECIFIED ON CONTRACT FACE Purchaser agrees to provide first-class hotel
accommodations including breakfast for six(6)persons

The hotel should be located near the venue in a downtown location The band wants to be near restaurants,shops and points
of local interest Hotel must have an elevator Be sure to guarantee the rooms for late arrival Artist prefers to use his own
agent for all travel arrangements If not,promoter must clear other arrangements with artist's management Be advised that

routing must be non-stop or most direct possible routs All aisle seats must be secured Routing and choice of airline must be
approved by Artist prior to confirmation and ticketing Unacceptable arrangements will constitute breach of this contract
Band's internal travel should be by roomy,first class van or bus Each band member requires window seating Tram travel
should be first class and Air travel must be on United,Delta,American,Northwest,or a partner and in a class of service,
which is upgradable with Northwest/Delta Miles

13.AUDIO&VIDEO RECORDING IMPORTANT:THERE IS TO BE NO AUDIO OR VISUAL RECORDING OF

14.INSURANCE
A Purchaser must carry public liability and property damage insurance with sufficiently high limits to adequately insure
against bodily injury,death,or loss of or damage to property in connection with a part of the performance
B Purchaser shall also indemnify Artist against any and all loss,damage and/or destruction occurring to Artist,their
employees,contractors and agents,and equipment at the venue,including but not limited to damage or destruction due to acts
of God
C Purchaser agrees to contact The Rosebud Agency regarding any diffic ies in meeting the above contract or rider
requirements
