The Amendment allows Habitat for Humanity to purchase, rehabilitate and sell up to three foreclosed residential properties to an income-eligible homebuyer at or below 50-120% of area median income. The City also has the flexibility to use a portion of its funds to provide down-payment assistance to help income-eligible homebuyers purchase foreclosed residential properties. S Public\RecordsManagement\Forms\ContractCover\adcc7832 1 11/08 KENT WA5 HIN CTON FIRST AMENDMENT SUB-RECIPIENT SERVICES AGREEMENT BETWEEN THE CITY OF KENT AND HABITAT FOR HUMANITY OF SEATTLE/SOUTH KING COUNTY NEIGHBORHOOD STABILIZATION PROGRAM-MOVE TO HOUSING PROJECT ORIGINAL CONTRACT DATE: February 23, 2010 PROJECT NUMBER: NSP1001 This Amendment modifies the above-referenced Agreement; all other provisions of the Agreement that are not inconsistent with this Amendment shall remain in effect. For valuable consideration and by mutual consent of the parties, the project Agreement is modified as follows: 1. Section I of the Agreement, entitled "Description of Work," to replace the first paragraph in that Section I with the following language: Sub-recipient shall redevelop foreclosed properties, as instructed by the City, to income-eligible buyers. Redevelopment includes the act of purchase, rehabilitation, and sale. In addition, redevelopment includes the Sub-recipient underwriting financial mechanisms, including down-payment assistance loans, to provide direct homeownership assistance to income-eligible buyers. 2. The document attached as Attachment A, entitled "Statement of Work and Budget," shall replace the Attachment A that was included in Exhibit A to the original Agreement. By way of summary, this revised Attachment A was amended to change eligible use from acquisition to redevelopment of up to two (2) abandoned or foreclosed properties for an income-eligible buyer and/or tenant. 3. The document attached as Exhibit C, entitled "Neighborhood Stabilization Program Reimbursement Request," shall replace the Exhibit C attached and incorporated into the original Agreement. By way of summary, this revised Exhibit C was amended to change the budget cost category from acquisition to redevelopment. The redevelopment budget contains $451,501.00. Milestones are requested on two (2) properties. 4. The Sub-recipient accepts all requirements of this Amendment by signing below, by its signature waives any protest or claim it may have regarding this Amendment, and acknowledges and accepts that this Amendment constitutes full payment and final settlement of all claims of any kind or nature arising from or connected with any work either covered or affected by this Amendment, including, without limitation, claims related to contract time, contract acceleration, onsite or home office overhead, or lost profits. This Amendment, unless FIRST AMENDMENT - 1 otherwise provided, does not relieve the Sub-recipient from strict compliance with the guarantee and warranty provisions of the original Agreement. S. All acts consistent with the authority of the Agreement, previous Amendments (if any), and this Amendment, prior to the effective date of this Amendment, are hereby ratified and affirmed, and the terms of the Agreement, previous Amendments (if any), and this Amendment shall be deemed to have applied. 6. The parties whose names appear below swear under penalty of perjury that they are authorized to enter into this Amendment, which is binding on the parties of this Agreement. 7.
