When countersigned by an authorized RREEF representative, this letter will serve as a written
settlement agreement between the City of Kent and RREEF ("the Parties") as to site
modifications agreed to by the Parties related to the City of Kent's proposed closure of a
driveway from S. 228th Street into the RREEF property in connection with the City's proposed
construction of an overpass over the nearby BNSF tracks across S. 228th Street. A drawing
showing the site and the driveway to be closed (location #3 shown on the drawing) is attached
as Exhibit 1 to this Agreement.
The City of Kent agrees to the following in order to better accommodate trucks entering the
RREEF property through two existing driveway locations on 83rd Ave. S.:
Pursuant to a plan proposed by RREEF and prepared by Lance Mueller & Associates (copy
attached) for RREEF, there exist four areas where improvements/modifications will be made.
Three areas are within the site and the fourth is the existing southerly driveway on 83rd Avenue
S., all as shown on Exhibit 1 to this Agreement. Specific site modifications proposed for each of
the "improvement locations are depicted on Exhibit 1 and are described in further detail on the
spreadsheet attached as Exhibit 2 to this Agreement.
The City agrees to provide a left turn pocket northerly on 83rd Avenue S. to the existing
southerly driveway on 83rd Avenue S.
The City agrees to perform, at its expense, all of the proposed changes at the existing southerly
driveway off of 83rd Avenue S. and improvement area number 3 as shown on Exhibit 1 and as
In described in exhibit 4.
The City agrees to compensate RREEF for the costs of work at the two other "internal"

improvement areas shown on Exhibit 1, in the lump sum amount of $4,060.00.

The City agrees to compensate RREEF for the costs of landscaping the berm that will be
disturbed as part of the City's road construction and at the new driveway that City is
constructing on 83rd Ave. S. which will become the main entrance to the site. The
compensation will be in the amount of $41,109.35 including tax as estimated on the proposals
from Signature Landscaping attached as Exhibit 3. This makes the total compensation to
RREEF $45,169.35.
By executing this Agreement, RREEF accepts the payment and work to be performed and made
by the City as full compensation for any and all claims that RREEF might otherwise assert in
connection with the City's project and driveway closure.

Exhibit 4
The City agrees, at its expense to provide labor and materials to install the
following additional items at locations No. 1 and No. 3.
Location No. 1
The City will construct and install the new sign according to the plans
submitted by Lance Mueller architects at the new driveway location on 83rd
Ave. S., the exact location will be agreed upon mutually by the City and
RREEF management.
Location No. 3
1. The City will remove and dispose of the existing monument sign.
2. The City will remove the existing asphalt and concrete pavement and C-
curbing at the existing driveway to be closed and install approximately
60 cubic yards of fill to level out the area. The fill material will be in the
form of imported clean gravel borrow.
3. The City will construct new C-curbing as necessary to delineate the
parking area.
