KENT CITY ART PROGRAM AGREEMENT
The Agreement and Exhibit A dated May 31, 2007, between the City of Kent, hereinafter referred to as
"Owner" and Lorna Jordan hereinafter referred to as "Artist".
WHEREAS: The Owner desires to enter into a contract with the Artist to develop a proposal for artwork
for the following project:
Wetland Enhancement at Clark Lake, Kent, Washington
1) TASK 1.0—Initial Feasibility Phase
Schedule: June 5, 2007—June 21, 2007
a) Research & review of documents
i) Review Clark Lake and Kent Operation Center recommendations &conduct research
b) Art Concept Preliminary Approach
i) Consider approach to Art Project
c) Meetings &Coordination
i) Meetings
(1) one (1) meeting for three (3) hours [already complete]
(2) one site visit and meeting four(4) hours
ii) Coordination by Telephone & Email
d) Deliverables
i) Report of activities and recommendation regarding project feasibility
By signing this Agreement, the Owner does not bind itself to complete the above referenced project.
However, if the above described design is approved by the City of Kent, the Artist hereby agrees to enter
into a contract for the commissioning of the artwork design and payment of all Washington sales or use
taxes in a timely manner.
In consideration of the services recited herein by the Owner, the Artist shall receive payment in the
amounr of Six Thousand ($6000) from the Owner within 30 calendar days of receipt and approval of
invoice from Artist by the Owner.
The Agreement constitutes the entire Agreement between the parties and may be amended only if in
writing and signed by both parties.
IN WITNESS,the parties below execute this Agreement,which shall become effective on the
last date entered below.

Scope of Work
for City of Kent Consultant
Clark Lake Wetland Enhancement Project
Under the direction of the City of Kent Public Art Program and Public Works Department, Lorna
Jordan Inc., (Artist) shall participate in an Initial Feasibility Phase for Clark Lake Stormwater
Pond and Earthwork Project(Art Project). The Artist shall reflect the goals of the Clark Lake Art
Master Plan. The focus of the feasibility phase is the earthwork,water,hardscape, and planting
associated with the stormwater pond(s) at the southeast corner of Clark Lake Park. The Artist
shall work with the City of Kent(COK)in this effort. The Artist may subcontract with others to
work under her direct supervision.
The City of Kent and the Clark Lake Design Team shall be responsible for: Cost Estimates,
Specifications, Engineering, Final Planting Design, Permitting, Earthwork Calculations, Water
Calculations, 3D modeling, & Construction Documents. These are to be based upon the Artist's
approved design drawings prepared under a separate contract. The City of Kent shall provide the
Artist with all digital and hard copy base map information, criteria for design,preliminary
Earthwork Calculations, preliminary Water Calculations prior design work by the City and it
subconsultants, project data, project studies, information relative to policies, standards, criteria,
site survey, and schedule information, etc. This information shall be provided no later than May
31, 2007. The Visual Arts Coordinator shall ensure coordination of efforts between the City of
Kent and the Artist.
After the Feasibility Phase, the City of Kent agrees to negotiate a future contract with the Artist
for services which shall include but not be limited to: preliminary art drawings, final art
drawings any additional design services, review of and comment upon documents prepared by
other design team members, and construction observation. Feasibility Phase and Design Phase
fees shall total $23,000 including those within this contract for work completed by July 3, 2006.
After this date, it is anticipated that there will be additional work which shall include but not be
limited to: additional design work, redlining construction documents created by others, and
construction observation. Such additional work shall be negotiated with the Artist. If the Artist's
feasibility phase does not prove viable or the Artist decides not to proceed into a future phase,
the COK shall not continue design or implementation using the Artist's general aesthetic
approach. Instead, the COK shall proceed with the single pond design put forth by the CLDT in
drawings sent to the Artist on 5.30.07.
Copyright & Credit.
The Artist shall retain the copyright and all other rights in and to the Art Project,provided that
the City of Kent is hereby granted an irrevocable license to graphically reproduce (through
photography or otherwise) images of the Art Project, and to authorize third parties to graphically
reproduce (through photography or otherwise) any and all of the same, as are desired by the City
of Kent, for municipal (e.g., education,public information, etc.)purposes. On each such
municipal reproduction, the Artist shall be acknowledged, using designations provided by the
Artist,to be the creator of the original Art Project thereof. The rights granted by this provision
shall survive the expiration or earlier termination of this Agreement.
Billing
Payments for Tasks 1 will be made in a lump sum to the Artist within thirty(30) days of Artist's
,• submission of deliverables, and acceptance by City'of Kent,upon submission of an Invoice to
the Public Works Department via the City of Kent Visual Arts Coordinator. Invoices shall be
addressed to Cheryl dos Remedios, 220 4`h Ave S, Kent, WA 98032
