In connection with that certain Commercial Promissory Note dated as of September
14, 2006 in the original principal amount of$11,413,000 00 in favor of Centurion (the "Loan
Agreement"), among Springboard Holdings, L L.0 , Washington limited liability company
(the "Borrower") and Centurion Financial Group, LLC, a Washington limited liability
company (the "Lender"), and that certain Guaranty dated as of September 14, 2006 made by
PLAN B DEVELOPMENT, LLC (the "Guarantor") in favor of Lender, the undersigned sole
member of Guarantor hereby certifies as follows
1. BEN ERREZ is the sole member of Guarantor.
2 The certificate of formation and the limited liability company agreement of
Guarantor, as heretofore amended and previously provided to Lender. are true, correct and
complete copies thereof.
IN WITNESS WHEREOF, the undersigned has signed this Certificate as of
September 14, 2006.
