ADCL7832 07102 AGREEMENT BETWEEN THE CITY OF KENT AND POLYGON NORTHWEST COMPANY, L.L.0 THIS AGREEMENT is entered into between the City of Kent, a Washington municipal corporation ("City"), and Polygon Northwest Company, L.L.C, a Washington limited liability company ("Polygon"). RECITALS WHEREAS,the City has entered into an agreement to construct improvements on real property located at 21231 42"d Avenue South, Kent, Washington, also known as King County tax parcel number 102204-9140-00 (the "Property"). WHEREAS, Polygon will be constructing some of the improvements referenced above. AGREEMENT The parties enter into the following agreement regarding the improvements that Polygon will be constructing on the Property: 1. Driveway: The existing gravel driveway serving the Property shall be modified as shown on the improvement plans approved by the City and attached hereto as Exhibit A. Polygon will modify the existing driveway grade and provide a crushed rock base for future asphaltic concrete paving to be installed by others. Final grades shown on the plan represent finish grade of the future asphalt surfacing. Improvements performed by Polygon shall not extend south of the south edge of the existing driveway, or into existing wetlands or their buffers without prior approval of the City, the City of SeaTac, or other applicable agencies. Additional improvement to the driveway beyond the revised gate location shown on Exhibit A will not be performed by Polygon. 2. Fence: No fencing on the Property will be installed or relocated, except that fencing adjacent to the Property in other areas which are outside the scope of this work and will be installed by Polygon as outlined in City of SeaTac SEPA Notice, Mitigated Determination of Non-Significance, File SEPA 04-00002, Page 4, Item 17, (Exhibit 2) and any additional fencing requirements pursuant to City of SeaTac or City of Kent codes. 3. Gate: The two existing gate posts shown on Exhibit A to be relocated will be relocated by the Property Owner's gate contractor, to the location shown on Exhibit A. Polygon will contract with and pay for the relocation of the two posts only. Any gates to be installed, or modification to the posts or gates required as a result of the new post locations will not be performed by Polygon. Two 2" schedule 40 PVC conduits will be installed by Polygon from the back edge of the existing sidewalk to the relocated gate location for future use by the Property Owner. Rock Wall: A rock wall will be installed based on a design permitted and approved by the City of SeaTac. The rock wall shall be installed to protect and armor the new cut slope immediately north of the driveway. A six inch (6") diameter wall drain shall be installed behind the rockery and shall be connected to a City of Kent storm water conveyance system within the 42"d Avenue South right-of-way, and the area around the retaining wall shall be graded to adequately drain the project area. The wall rock used in the walls shall be the same color and type as that being installed along 42"d Avenue South to provide consistency in design to adjacent properties and to preserve the neighborhood character per City of SeaTac Code 15.19.330. 5. Grading: Areas outside of the proposed driveway shall be graded as described on the approved improvement plans. All cleared and graded slopes shall be hydro-seeded with low growing grass seed. During construction, Polygon will be responsible for maintaining erosion protection. Polygon will not be responsible of removing all erosion protection outside of the 42"d Avenue South right-or-way when authorization is allowed under current City of SeaTac construction standards, Corp of Engineers requirements, and any other regulatory agency requirements. at 6. Commencement and Completion: The work described in this Agreement shall commence within 48 hours of execution of this Agreement and will be completed within forty (40) working days of the start of construction. 7. Construction Plans: Once the improvement plans have been approved for construction, Polygon shall not modify the plans unless the City of Kent and SeaTac agree to the addition or modification. 8. Project completion and Acceptance: The City of Kent and the City of SeaTac will determine the project as complete when it is constructed in accordance with the plans and specifications. 9. Bond Release: Upon final approval of the improvements described herein by the City,the City will perform a final inspection on all improvements made to 42"d Ave South by Polygon Northwest in connection with the Kentview PUD in order to generate a punch list of any final corrections that may be required for final acceptance by the City. Upon completion of the punch list (if any) by Polygon Northwest, the City will release all bonds for improvements predating this Agreement, whether performance or maintenance, in connection with 42"d Ave South. 10. Acceptance after Approval: Any improvements constructed within the City of Kent are required to be bonded and warranted for a period of one year after acceptance.
