LETTER OF TRANSMITTAL
Dear Mr. Brubaker:
In accordance with your request, enclosed please find a letter, signed by
Wi1Tel, that indicates that Wi1Te1 accepts the assignment of the January 17, 2001,
Limited Street License from TyCom Networks(US) Inc. and agrees to be bound to
the terms and conditions of that License.
In the event there are any questions, or if you require any additional
information about any of the involved parties or the currently proposed TGN
transaction, please contact the undersigned. Earth Tech, Inc. has been designated
as WilTel's agent in facilitating this transfer process. We thank you for your
assistance in processing the assignment records to date and look forward to
working with you to complete the transaction.

Dear Ms. Dominquez:
In your August 1, 2005, letter, you made the City of Kent ("City")
aware that Tyco International, Ltd. ("Tyco") wished to withdraw the request
it made earlier this year to assign Tyco's rights and interest under a January
�1ma 17, 2001, Limited Street License with the City to Videsh Sanchar Nigam,
Ltd. ("VSNL"). It is now Tyco's intent to assign its interest under that
Limited Street License to WilTel Communications, LLC ("WilTel"). In
order to finaliz that transaction, you requested that the City consent to
Tyco's assignor nt of its rights and interest under the Limited Street License
to WilTel. City will consent to such an assignment, subject to the
wrµ
following conditions:
1. Upon assumption of the assignment, WilTel hereby ag
rees to
be bound to and to comply with the original terms and
condition s of the Limited Street License.
2. The Limited Street License shall terminate ten (10) years from
the original effective date of the License, which date will be
January 17, 2011.
-N ` Before this assignment will become effective, however, WilTel must
indicate that it accepts the terms and conditions of the Limited Street License
and this letter by signing where indicated below and returning an original to
