AMENDMENT NO. 1 TO
INTERLOCAL AGREEMENT FOR TOURISM & MARKETING SERVICES
(between Seattle Southside Visitor Services and City of Kent)
THIS AMENDMENT NO. 1 ("Amendment")is made between the SEATTLE SOUTHSIDE
VISITOR SERVICES, a tourism marketing program offered by the cities of Tukwila and SeaTac
("SSVS") and the CITY OF KENT, a Washington municipal corporation ("CITY")
1. RECITALS
1.1 On November 1, 2004, the City entered into an Interlocal Agreement with SSVS
wherein the City agreed to contract with SSVS for its professional tourism and marketing services in
order to increase awareness of Kent and its surrounding area as a tourist destination.
1.2 The City and SSVS express their mutual intent and desire to amend the Interlocal
Agreement to revise the scope of work for SSVS to add Kent-area restaurants to its Vacation Planner
using City lodging tax funds. When the Interlocal Agreement was originally negotiated, SSVS was
planning to charge Kent-area restaurants $250 for each establishment's listing in the Vacation
Planner However, the City's Lodging Tax Committee has agreed to allocate funds toward this
project; therefore, it is necessary to amend the Interlocal Agreement
II. AMENDMENT
NOW THEREFORE, in consideration of the mutual intent, desire, and promises of the
parties and other good and valuable consideration, City and SSVS agree as follows:
2.1 Section Three, "Conduct o{Interlocal Agreement. " Subsection(h)of Section Three
of the Interlocal Agreement, entitled "Conduct of Interlocal Agreement," is amended as follows
(h) incorporate Kent hotels, shopping destinations, restaurants,
tourist attractions, key City venues and park and recreation facilities,
and events into the SSVS vacation planner,website,coupon book and
restaurant concierge book For non-hotel,non-major tourist attraction
and non-City venues, the following estimated charges will apply to
businesses that choose to participate in the following services.
Website coupons, $100; Website links, $100, Coupon book, $250;
and Restaurant Concierge Book. $600 per business for 2 pages.
There will be no charge for hotels,all full-service restaurants serving
the Kent lodging industry (all Kent restaurants located west of the
East Hill), major tourist attractions and City venues and City
sponsored events to be included as part of these marketing materials.

2.2 Section Two, "Contributions " In consideration of the additional work to be
completed by SSVS with respect to adding Kent-area restaurants to the Vacation Planner,the City
agrees to pay SSVS the additional sum of Six Thousand Six Hundred and NO/100 Dollars
($6,600 00) Accordingly, the second paragraph under Section Two, entitled "Contributions," is
amended as follows
In addition, Kent will contribute a maximum amount of THIRTY-
ONE THOUSAND EIGHT HUNDRED DOLLARS ($31,800)
toward an update of the Vacation Planner, to include adding a list of
Kent-area restaurants, and a new map to include Kent as described
below. Kent will pay SSVS at the completion of the Vacation
Planner update, estimated to be by March 31, 2005. Tukwila will
invoice Kent at the completion of this project.
2.3 Remaining Provisions. Except as specifically amended by this Amendment, all
remaining provisions of the Agreement shall remain in full force and effect.
IN WITNESS, the parties have executed this Amendment,which shall become effective on
the last date executed below.
