Dear Sir/Madam-
Reference is made to that certain Development Agreement dated as of January 20, 2004, and
entered into between the City of Kent and Kent Station L.L.C. (the"Development
Agreement") Tarragon-Kent Station Phase I L L C. ("Developer") is the successor in
interest to Kent Station L L.C.
U S Bank National Association has agreed to make loans to Developer in order to finance
the development of one of more Takedown Parcels (as such term is used in the Development
Agreement) Pursuant to Section 7.14 of the Development Agreement, U S. Bank hereby
requests the City of Kent to provide U S Bank with a notice of default and opportunity to
cure as provided in such section of the Development Agreement. Any such notice should be
sent to the following address(or such other address as U S Bank hereafter provides to the
City of Kent)•
