THIS ADDENDUM between the NORTHWEST HOUSING GUILD, LLC ("Buyer")
and the CITY OF KENX ("Seller"), a Washington municipal corporation, amends that certain
Real Estate Purchase and Sale Agreement entered into between Seller and Buyer on or about
July 15,2003 (the"Agreement").
The Seller and Buyer agree as follows:
1. The Buyer and Seller agree that the Real Estate Purchase and Sale Agreement
between the Cit of Kent and Northwest Housing Build, LLC, dated July 15, 2003, be assigned
from Northwest Housing Guild, LLC, to a new entity formed called Heritage Eagle Creek, LLC.
2. Except as amended by this Addendum One, all provisions of the Agreement shall
remain in full force and effect except as specifically modified by this Addendum One.
3. Facsimile signatures on this Addendum One will be considered originals.

IN WITNESS WHEREOF, the parties hereto have executed this Addendum One, which
shall take effect on the last date signed below.
