ADDENDUM ONE TO MEMORANDUM OF UNDERSTANDING
THIS ADDENDUM ONE between THE CITY OF KENT ("City") and KENT
STATION, L.L.C., ("Developer") amends that certain Memorandum of Understanding
entered into between City and Developer on the 17`h day of July, 2002 (the "MOU")
City and Developer agree and covenant as follows
1 Extension The MOU is currently set to expire in its entirety on the date
of execution of the Purchase and Sale Agreement and the Development Agreement, or on
December 31, 2002, whichever occurs first Developer has requested, and the City has
agreed, to extend the expiration date of the MOU to March 7, 2003, or the date of
execution of the Purchase and Sale Agreement and the Development Agreement,
whichever occurs first
2 Entire Agreement. Except as amended by this addendum, all provisions of
the MOU shall remain in full force and effect except as specifically modified by this
Addendum One
3 Counterparts This Agreement may be executed by counterparts and be
valid as if each authorized representative had signed the original document
IN WITNESS WHEREOF, the parties hereto have executed this Addendum
One,which shall take effect on the last date signed below.

ADDENDUM ONE TO MEMORANDUM OF UNDERSTANDING
THIS ADDENDUM ONE between THE CITY OF KENT ("City") and KENT
