AMENDMENT NO. [_I_]TO MapOuest Connect AGREEMENT
between
MapQuest.com,Inc. ("MapQuest")
and
City of Kent(Licensee")
dated as of
September 15 ,2002
RECITALS
WHERAS, MapQuest and Licensee are parties to that certain MapQuest Connect Agreement dated as of
September 15, 2001 (the "Agreement"), pursuant to which MapQuest grants to Licensee a non-exclusive, non-transferable
license to use the MapQuest Service on the terms and conditions set forth therein,and
WHEREAS, Licensee and MapQuest desire to amend the Agreement in order to extend the Term thereof
AGREEMENTS
In consideration of the above recitals and of the mutual agreements contained herein and in the Agreement, the receipt and
sufficiency of which are hereby acknowledged,MapQuest and Licensee agree as follows
1 Term The initial term of the Agreement shall be for a penod of One Year from the Effective
Date(the"Initial Term") The Parties shall have the right to renew this Agreement for additional terms of one(1)year,
subject to the prior written agreement of the Parties(each such renewal term,a"Renewal Term,"and together with the Initial
Term,collectively referred to herein as the"Term")
2 Fees Licensee shall pay to MapQuest the fees set forth in Exhibit 1 hereto applicable to such extension of the Term
of the MapQuest Connect Agreement
3 Effect of Amendment Except as otherwise amended hereby, the Agreement shall remain in full force and effect
and is hereby ratified and confirmed in all respects
4 Counterparts and Facsimile Delivery This Amendment may be executed in one or more counterparts, each of
which shall be deemed an original and all of which taken together shall be deemed to constitute one and the same document
The parties may sign and deliver this Amendment by facsimile transmission MapQuest and Licensee each agree that the
delivery of the Amendment by facsimile shall have the same force and effect as delivery of original signature pages and that
each party may use such facsimile signatures as evidence of the execution and delivery of the Amendment by all parties to
the same extent that an original signature could be used
5 Capitalized Terms All capitalized terms not defined herein shall have the same meanings ascribed to them in the
Agreement

FEES
1 Fees Licensee shall pay the following fees to MapQuest during the Renewal Term
a Annual Renewal License Fee Within thirty (30)days following receipt of an invoice
therefor,Licensee shall pay to MapQuest an"Annual Renewal License Fee' of Two Thousand Nine
Hundred _Dollars($ 2,900 ) The Annual Renewal License Fee shall include up to Three
Hundred Thousand ( 300.000 )Map Transactions,specifically excluding Wireless
Transactions, (the`Baseline Map Threshold") In the event that Licensee exceeds the Baseline Map
Threshold,Licensee also shall pay MapQuest
An "Additional Map License Fee" of Sixteen Hundred Dollars($ 1.600 1 for up to Two
Hundred Thousand ( 200 000 )Map Transactions(the'New Map Threshold")once
Licensee exceeds the Baseline Map Threshold, which Additional Map License Fee shall be paid within
thirty(30)days following receipt of an invoice therefor In the event that Licensee exceeds the New Map
Threshold during the Renewal Term of this Agreement,Licensee shall pay MapQuest another Additional
Map License Fee as described above(or in another amount to be agreed upon by the Parties in writing),
prior to any delivery by MapQuest of any further Maps hereunder
