THIS INDEMNIFICATION AGREEMENT is entered into between CENTRAL
PUGET SOUND REGIONAL TRANSIT AUTHORITY, a regional transit authority of
Washington, ("Sound Transit") and the CITY OF KENT, a Washington municipal
corporation ("City")
SOUND TRANSIT, for and in consideration of Sound Transit's limited use of its
Sound Transit parking garage, and other good and valuable consideration,receipt of which
Sound Transit acknowledges, agrees to defend, indemnify and hold the CITY harmless
against all losses, claims, suits, liability and expenses connected with or ansmg out of injury
or death of persons or damage to property that result from use of the temporary gravel
entrance way leading from the north entrance of the Kent Station parking garage (which
entrance leads east to 1st Avenue), except for injuries or damages that result from the sole
negligence of the City This indemnification is effective immediately and will remain in
effect until the City takes possession of the improvements to Temperance Avenue between
2id Avenue and I" Avenue, which Sound Transit will be constructing from April through
August 2002
This Indemnification Agreement contains the entire agreement between the parties
The terns of this Agreement are contractual and not a mere recital
