Dear Mike
Per our recent discussions, I am herewith submitting this Letter of Agreement for
the continued services of Hunter Interests Inc (HII) to provide professional
services to the City of Kent for planning, financial and fiscal modeling, and
evaluation for the Kent Station Project
The following outlines the proposed Scope of Services to be conducted by HII
• Evaluate developers' detailed proposals
• Assist in reference and background checks
• Review evaluation with"conductors" and City Council
• Structure second-step interview process.
• Work with City staff to develop computer models and methodologies to
evaluate the economic, fiscal, and financial impact of various proposals
and components of the Kent Station project
• Develop public/private partnership framework
• Assist in the negotiation of a Memorandum of Understanding (MOU) and
development agreement(s)
• Participate in presentations and meetings as requested by City staff and
Council
A not-to-exceed budget of $40,000 has been established for this contract This
estimate does not include direct expenses Should the complexity of the
evaluation, selection, and negotiation process warrant additional professional
time, we will discuss necessary revisions to this agreement with City officials
prior to our undertaking of such work

As in all of our work, the City will be billed only for actual professional,
technical, and administrative time at the firm's normal billing rates, plus requests
for compensation for direct expenses The hourly rates for the HII personnel who
will assist the City are as follows:
Donald Hunter $235
Geoff Graham $175
Salem Reiner $105
Direct expenses are billed at cost, without a mark-up or management fee. Bills
are rendered monthly and are expected to be paid within 30 days in order to avoid
interest penalties and collection costs.
HII is an Equal Opportunity Employer with an adopted Affirmative Action
Program, and hereby agrees to conduct all work without discrimination of any
type. The firm carves normal liability and Workers' Compensation insurance for
firms of our type, and agrees to hold harmless from any liability associated with
this work the City of Kent, its elected officials, and employees
If this agreement meets with your approval,please sign both copies and return one
copy to us for our file. We look forward to continuing our relationship with the
City of Kent and assisting your City Council and staff in strengthening the City's
economy.
