THOMAS R. AND WARWICK D. TOMFOHR AND CITY OF KENT
In consideration of mutual benefits derived from the sale of certain real
property located at 27637 188th P1 . S.E. , Kent, Washington 98042, including
the City of Kent's consent to allow for the conversion of an electric furnace
system to a natural gas system, Thomas R. Tomfohr and Warwick D. Tomfohr,
husband and wife, as successful bidders having been awarded rights to purchase
said real property legally described as Lot 78, Winterwood Estates, Division 6,
according to the plat thereof recorded in Volume 123 of Plats, page 58-62,
inclusive, of King County, Washington; parties agree that should sale of said
real property between the City of Kent and the Tomfohrs fail to close for any
reason, all natural gas improvements and appliances provided for in a
conditional sales contract executed between Washington Natural Gas and the
Tomfohrs for the installation of a natural gas furnace system to the property
shall inure to the benefit of the City of Kent. The Tomfohrs further agree to
waive any and all claims and to forever indemnify, release and hold harmless
the City of Kent, its elected officials, officers and employees for such
improvements, security interests created hereunder to Washington Natural Gas
Company, and real estate purchase and sale agreement executed between the City
and the Purchaser. Sole responsibility for payment of improvements and
appliances, including piping and permits, venting, warm air registers, and
excavation are the sole responsibility of the Tomfohrs. The Tomfohrs
affirmatively agree to remove any lien hold interests should the City be
required to satisfy any security interest for failure to fully pay for
installation of said improvements and appliances as a consenting party should
the agreement between Washington Natural Gas Company and the Tomfohrs be
breached. —
