WHEREAS, the City of Yangzhou, Jiangsu Province, People ' s
Republic of China, and the City of Kent, Washington, the United
States of America, established sister city ties on April 8 , 1994 ;
and
WHEREAS, in order to enhance the friendship and promote
cooperation and exchange between the two cities, Yangzhou
Municipal People ' s Government ( "Yangzhou" ) proposes to send to
the City of Kent ( "Kent" ) a traditional Chinese style pavilion as
a symbol of friendship;
NOW, THEREFORE, the parties hereby enter into this non-
binding Memorandum of Understanding subject to the following
terms and conditions :
A. Construction Plans and Site Selection.
1 . Yangzhou agrees to provide Kent a square pavilion in
the traditional style and according to the traditional
construction techniques of Chinese pavilions,
especially that of the Yangzhou style, as shown in the
drawings presented to Kent and indicated on Exhibit A,
attached;
2 . Yangzhou prefers that the pavilion be constructed in a
public park, or alternatively, any other place that
Kent approves as most suitable;
3 . The City will obtain all necessary permits . Yangzhou
will use its best efforts to cooperate with Kent to
comply with all applicable Kent construction standards .
Correspondingly, the City will use its best efforts to
preserve the integrity of the pavilion, in reference to
traditional techniques of Chinese pavilions of the
Yangzhou style .
B . Proposed Procedures and Time Disposition.
1 . Yangzhou will be responsible for architectural design,
construction of wood structure, and allocation of main
fittings and components such as tiles . Yangzhou shall
communicate with Kent to provide adequate drawings and
specifications for the pavilion, preferably translated
into English, to the extent possible . Yangzhou shall
use its best efforts to complete this phase of the
project by the end of February, 1995 .
2 . Afterwards, all the prefabricated components and the
fitting materials will be packed in a rented container
and shipped to the Port of Seattle, Washington, by sea
via port of Zhang Jiagang, Jiangsu Province or
Shanghai . The shipping is to start in March, 1995, or
as soon thereafter as possible .
3 . Kent will unpack the materials, arrange a suitable
storage site, and protect and preserve the materials .
4 . Yangzhou will send five engineers and technicians to
install the pavilion. Kent will be responsible for
payment of their round trip international air fare,
together with suitable living and boarding
accommodations for 30 working days in Kent .
5 . Kent will supply construction facilities,
transportation, auxiliary equipment, and other
incidental needs . Kent will fully cooperate throughout
the construction of the pavilion. Yangzhou estimates
that by May, 1995 Chinese architects will be available
to go to Kent to begin installation, or at any time
thereafter, when so invited by Kent .
This Memorandum of Understanding is executed by the undersigned
this 6__�day of 1994 .
