Community Health Centers agrees to convey all of its right, title and interest to the following legally described properties to the City of Kent no later than five (5) years from the date of this agreement; or the completion of the building project(s) by Community Health Centers on the properties, whichever occurs soonest: Parcel 1 Lot 19, Block 13, Washington Central Improvement Co. 's First addition to Kent, according to the plat thereof recorded in Vol. 3 of Plats, page 97, in King County, Washington. Parcel 2 Lot 18, Block 13, Washington Central Improvement Co. 's First addition to Kent, according to the plat thereof recorded in Vol. 3 of Plats, page 97, in King County, Washington. 2. Contemporaneously with the conveyance of the properties to the City of Kent, the City of Kent shall execute a lease with CONTRACT TO CONVEY - Page 1 of 2 Community Health Centers on the properties with terms substantially the same as the existing lease between the City of Kent and Community Health Centers for real estate adjacent to the subject properties. 3. Community Health Centers agrees to execute a statutory warranty deed conveying the subject properties to the City of Kent, to be held in escrow and released to the City of Kent for recording by the City of Kent in the event Community Health Centers dissolves, either voluntarily or involuntarily, prior to the time of the transfer of the subject properties to the City of Kent in accordance with this agreement. 4. As I indicated to you in our recent meeting, the Community Health Centers are desirous of receiving the balance of the $150, 000 from the City of Kent at this point to move forward with the preliminary work on the project. They will be using the additional funds to demolish the old structures on the properties, to do some soil tests in preparation for the building project, and to move forward with preliminary design work with architects. Could you please give me a call or drop me a note when these funds are available or let me know how this is to be handled. Woods thanked her colleagues for their confidence in re-electing her as Council President, and said committee appoint- ments will be made after the Council vacancy is filled. She asked Councilmembers to provide input as to what committees they would be interested in serving on. REPORTS Woods announced that the Suburban Cities Association will host the new Metro/County Council officials, including County Executive Gary Locke, next Wednesday, and encouraged Councilmembers to make reservations as soon as possible. Public safety committee. Mann announced that the date for their regularly scheduled meeting is a holiday, January 17 , and therefore they will not meet again until February 7 . He added that if issues arise which need to be addressed, a meeting time and place will be announced. EXECUTIVE At 7 : 50 p .m. , Mayor White announced an executive SESSION session of approximately 15 minutes to discuss property acquisition issues . PROPERTY The meeting reconvened at 8 : 02 p .m. Lubovich ACQUISITION announced that discussion was held regarding property acquisition for the Community Health Clinic, and noted that approximately $150, 000 is available in the 1994 budget for property acquisition. He stated that the proposal is to transfer those funds to the Community Health Clinic for the purpose of development and property acquisition for the local clinic, to enter into an agreement with them, and if the properties are not acquired, to receive either the funds back or the title of the property. WOODS MOVED to grant the funds to the Community Health Clinic and to enter into an agreement subject to the approval of the Mayor. Johnson seconded and the motion carried. Kent, WA 98032 Re: Community Health Centers of King County Dear Mr. Lubovich: This letter is to reduce to writing the agreements which have been orally agreed upon between Community Health Centers of King County, a Washington nonprofit corporation, and the City of Kent. We are now in a position to secure the monies which have been allocated by the City of Kent to Community Health Centers for the acquisition and improvement of the properties adjacent to the current clinic site of the City of Kent. We are currently in the process of closing these properties, and I am furnishing to you, with a copy to Mr. Brent McFaul, copies of the purchaser's closing statements indicating the total amount of monies which will be necessary to close the basic real estate transactions. This is further to detail the agreement between Community Health Centers and the City of Kent that at some point in the future, at such time as Community Health Centers has finished their construction project on the properties, that Community Health Centers will transfer the real estate to the City of Kent. At such time as the property is transferred and simultaneously with the transfer of the properties, Community Health Centers and the City will enter into a lease on the properties wherein the City will lease the properties to Community Health Centers for the sum of $1. 00 per year. The length of the lease and the terms of the lease should be roughly approximate to the current lease between the City and Community Health Centers on the current clinic site. Roger Lubovich April 27, 1994 Page 2 I had also suggested to you and will get Board approval from the Community Health Centers to amend our Articles and/or Bylaws to provide that, in the event of a dissolution of the corporation, the real estate which is currently being purchased, if not previously transferred, be specifically distributed to the City of Kent. We had also discussed placing something of public record to indicate the interest of the City of Kent in the property prior to any such transfer, and we certainly have no objection to such documentation. I ' ll give that some thought and continue to communicate with you about what type of documentation we can develop which can be recorded, without the payment of any excise tax, which would put of public record the promise of Community Health Centers to convey the real estate to the City at some time in the future. We had also discussed the fact that if the sales do not close or if Community Health Centers, within a reasonable period of time, do not utilize the properties for clinic purposes or for parking for the current or expanded clinic, the conveyance would occur. As I indicated to you on the phone, we wanted to maintain as much flexibility as possible because we will be in the process of raising monies and I believe we will need to have title during the building program. We cannot give you a definite date on the building program because we will need to raise monies for the building program after we have closed this sale.
