The City of Kent (the "City") and TCI Cablevision of Washington, Inc. d/b/a
AT&T Cable Services ("AT&T")have reviewed Section 5 of Ordinance No. 3108 (the
"Franchise") requiring AT&T to provide,maintain and operate a public access studio,
and have agreed to pursue the mutually beneficial goal of creating a Community Access
Studio (the"Studio")with an Educational Partner and other municipal partners, which
may be operated by a nonprofit group or other board not directly affiliated with AT&T.
The City agrees to grant to AT&T an extension of the deadline for compliance
with Section 5 of the Franchise to January 1, 2001.
AT&T agrees to provide one (1) full-time AT&T employee who will be hired by
AT&T, with participation from the City and its municipal partners participating in the
South County Public Access Workgroup ("SCPAW"), as the Studio Project Manager.
SCPAW may select up to three (3)representatives to participate with AT&T as part of a
cooperative employment selection process. It will be the primary job responsibility of the
Studio Project Manager, in coordination with SCPAW representatives, the Educational
Partner, and AT&T, to ensure that the Studio is operational and capable of cablecasting
community programming no later than January 1, 2001.
The selected employee will work with SCPAW on behalf of AT&T for the
duration of this extension agreement or until such time as the facility is operational.
AT&T will hire this person for the purpose of assisting the parties to:
a. support negotiation of agreements with regional entities;
b. support negotiation with educational partners;
c. support identification, recruitment and establishment of the appropriate board,
boards or nonprofit agency;
d. research and recommend selection of equipment and facilities for the Studio;
e. oversee purchase and installation of equipment and facilities in the Studio;
f. develop a five-year work plan for the Studio; and
g. all other appropriate tasks necessary to bring the Studio to completion in a
timely manner.
AT&T agrees to meet with SCPAW representatives in January, 2000 to set
specific goals necessary to meet the January 1, 2001 deadline, and the timeline for
achieving those goals. Additionally, the duties and responsibilities of each of the parties
(the designated AT&T employee, SCPAW representatives and AT&T)will be addressed,
and a regular monthly meeting schedule will be set to ensure consistent focus by all on
this project.
The parties agree to work cooperatively during the goal-setting process and at
every subsequent meeting. The parties further agree to: [1] make best efforts to support
the Project Manager so that(s)he can comply with the project timeline; [2] address the

timeline with the Project Manager at the regularly scheduled monthly meetings to
monitor progress; and [3] make reasonable accommodation for modifications to the
timeline, as requested by the Project Manager, due to unanticipated events beyond the
control of the parties which may impact the project.
