HomeMy WebLinkAboutCAG2001-0442 - Original - Lewis Haak - Purchase of Property 11525 SE 240th St - 02/26/2001 REAL ESTATE PURCHASE AND SALE AGREEMENT WITH EARNEST MONEY PROVISION BETWEEN THE CITY OF KENT AND LEWIS HpAK This contract controls the terms of the sale of real property. (Please read carefully,before signing) This Agreement is entered between the CITY OF KENT, a Washington municipal corporation, whose mailing address is 220 4th Avenue South, Kent, Washington 98032- 5895, ('Buyer"), and Lewis Haak ("Seller"), whose mailing address is 11525 SE 24e Street, Kent, Washington 98031, for the sale and purchase of real property as follows: 1. PROPERTY. The property, including all improvements and appurtenances situated thereon, which Buyer agrees to buy and Seller agrees to sell, is commonly known to be 11525 $E 240t' Street, Kent, Washington (the "Property"), and which Property is legally described in Exhibit A, attached hereto and incorporated herein by this reference. EARNEST MONEY. Received from the Buyer, Ten Thousand Dollars and No/100 ($10,000.00) as earnest money and part payment on the purchase price of the following described real estate. 3. PURCHASE PRICE. The total purchase price for the Property is Three Hundred Ninety Nine Thousand, Nine Hundred Fifty Dollars and No/100 ($399,950.00), including earnest money, payable on closing. 4. CONTINGENCIES. This agreement is contingent upon: (a) Acceptance of its terms by the Kent City Council. Contract/Purchase & Sale 1 of 10 02/16/01 Haak, Lewis (b) Buyers review and approval of the title report on the property prior to Closing. (c) Buyer's review and approval of Seller's information contained in the REAL PROPERTY TRANSFER DISCLOSURE STATEMENT, ("Statement') as set forth in Exhibit C. The "Statement' shall be completed by the Seller within thirty (30) days from the date of mutual acceptance of the Agreement. (d) A Feasibility Study as follows: (1) Buyer shall have forty-five (45) days from the date of mutual acceptance of this Agreement to determine, in Buyer's sole and absolute discretion, if the Real Property is feasible for investment and/or development by Buyer. (2) Buyer's feasibility study may include (but is not limited to) a Phase I and/or Phase II environmental assessment, utilities availability and capacity, access availability, zoning, preliminary architectural and engineering studies, marketing feasibility. In the event of discovery of an environmental condition on the property, prior to closing, either Seller or Buyer may, at their sole option, terminate this Agreement. Contract/Purchase&Sale 2 of 10 02/08/01 Haak, Lewis (3) A Phase I environmental assessment generally will consist of a review of title of ownership and land use, review of geologic and hydrologic maps of the area, review of federal and state databases for know hazardous water generators or contaminated sites and a site visit. If the Phase I review reveals the potential of a contaminated site, a Phase II environmental assessment may be conducted which generally will consist of on-site sampling, including the digging or boring of test holes for soil samples. If the Buyer elects, at its sole discretion, to conduct a Phase II environmental assessment, the feasibility study period will be extended for an additional forty-five (45) days upon prior written notice to Seller unless otherwise agreed. BY EXECUTING THIS AGREEMENT, SELLER HEREBY AUTHORIZES BUYER A RIGHT OF ENTRY TO THE PROPERTY FOR THE PURPOSE OF CONDUCTING THIS FEASIBILITY STUDY INCLUDING A PHASE IF, AND IF NECESSARY, A PHASE II ENVIRONMENTAL ASSESSMENT. SELLER WILL BE NOTIFIED IF A PHASE 11 ENVIRONMENTAL ASSESSMENT IS TO BE CONDUCTED. (4) Buyer agrees to conduct its feasibility study at its sole cost and expense; and if Buyer does not remove the feasibility contingency on or before the expiration of the feasibility period(s), then Buyer also agrees, if requested by Seller, to deliver to Seller copies of all information and documentation obtained by Buyer in connection with its feasibility study. Contract/Purchase &Sale 3 of 10 02/08/01 Haak, Lewis (5) If Buyer fails to notify Seller of its approval of the Real Property, in writing, on or before the expiration of the feasibility period(s), then this Agreement shall be terminated and neither Buyer nor Seller shall have any further rights, duties or obligations hereunder, except that the Earnest Money held in Great American Escrow, by Buyer to Seller shall be immediately returned to Buyer. Buyer agrees to return the Real Property to its original state (i.e., fill all boring holes, etc.) Should any of these contingencies set forth above not be met or removed prior to closing, then this Agreement shall terminate except neither Buyer nor Seller shall have any further rights, duties or obligations hereunder, except that the Earnest Money held in Great American Escrow by Buyer to Seller shall be immediately returned to Buyer. 5. CONVEYANCE AND CONDITION OF TITLE. The title to the Real Property shall be conveyed by Seller to Buyer at closing by Statutory Warranty Deed, free and clear of all liens, encumbrances or defects except those described in Paragraph 6 below. 6. TITLE INSURANCE. At Closing, Seller shall cause Pacific Northwest Title, 1201 Third Avenue, Suite 3800, Seattle, Washington 98101-3055, to issue an extension from owner's policy of title insurance to Buyer in an amount equal to the total purchase price of the Real Property, and insuring the Real Property be discharged by Seller shall be paid from Selle►'s funds at Closing. For purposes of this Agreement, the following shall not be deemed encumbrances or defects: rights reserved and federal patents or state deeds; building or use restrictions consistent with current zoning, and utility and road easements of record. If title cannot be made so insurable prior to the Closing date called for herein, unless, Buyer elects to waive such defects or encumbrances, this agreement shall terminate. Contract/Purchase&Sale 4 of 10 02/08/01 Haak, Lewis 7. CLOSING COSTS AND PRO-RATIONS. The cost of escrow shall be shared equally between Buyer and Seller, except those fees that are expressly limited by Federal Regulation. Seller shall pay for all applicable excise tax and revenue stamps. Taxes for the current year, rents, interest, Association, Condominium and/or Homeowner's fees, water and other utility charges, if any, shall be pro-rated as of date of closing unless otherwise agreed. 8. CLOSING OF THE SALE. WITH THE UNDERSTANDING THAT TIME IS OF THE ESSENCE FOR THIS AGREEMENT, this sale shall be closed by May 4, 2001 which shall also be the termination date of this agreement unless said closing date is extended in writing by mutual agreement of the parties. When notified, the Buyer and Seller will deposit, without delay, in escrow with Great American Escrow, 1814 South 324t' Place, Suite A, Federal Way, WA 98003, all instruments and monies required to complete the transaction in accordance with this agreement. Closing, for the purpose of this agreement, is defined as the date that all documents are executed and the sale proceeds are available for disbursement to the Seller. 9. CASUALTY LOSS. If prior to closing, improvements on said premises shall be destroyed or materially damaged by fire or other casualty, this agreement, at option of the Buyer, shall become null and void. 10. POSSESSION. Buyer shall be entitled to possession on closing. 11. SELLER'S REPRESENTATIONS. Seller represents: (a) that he/she will maintain the property and yard in present or better condition until time of agreed possession, Contract/Purchase& Sale 5 of 10 02/16/01 Haak, Lewis (b) that he/she has no knowledge or notice from any governmental agency of any violation of laws relating to the subject property except: (c) that the property is not encumbered by any leases. 12. SELLER'S ENVIRONMENTAL REPRESENTATIONS. Seller represents that to the best of his/her knowledge that he/she is not aware of existence of, or has caused or allowed to be caused, any environmental condition arising or occurring during Seller's ownership of the Property (including, without limitation, a spill, discharge or contamination). This provision shall survive the closing. 13. SELLER'S INDEMNITIES. Seller agrees to indemnify and hold harmless the Buyer, against and in respect of, any and all damages, claims, losses, liabilities, judgments, demands, fees, obligations, assessments, and expenses and costs, including, without limitation, reasonable legal, accounting, consulting, engineering and other expenses which may be imposed upon or incurred by Buyer, or asserted against Buyer, by any other party or parties (including, without limitation, a governmental entity), arising out of or in connection with any environmental condition existing as of and/or prior to the closing date, including the exposure of any person to any such environmental condition, regardless of whether such environmental condition or exposure resulted from activities of Seller or Seller's predecessors in interest. "Except for liability arising from activities of Seller prior to the sale of the subject property or any liability imposed upon Seller arising under CERCLA or MTCA by any governmental agency." This indemnity shall survive the closing and be in addition to Seller's obligation for breach of a representation or warranty as may be set forth herein. Contract/Purchase&Sale 6 of 10 02/08/01 Haak, Lewis 14. DEFAULT AND ATTORNEY'S FEES. (a) Buyer's Default. IF BUYER DEFAULTS HEREUNDER, SELLER'S SOLE REMEDY SHALL BE LIMITED TO DAMAGES AGAINST PURCHASE IN THE LIQUIDATED AMOUNT OF THE EARNEST MONEY PREVIOUSLY PAID THE BUYER. BUYER AND SELLER INTEND THAT SAID AMOUNT CONSTITUTES LIQUIDATED DAMAGES: AND SO A$ TO AVOID OTHER COSTS AND ECPENSES TO EITHER PARTY IN CONNECTION WITH POTENTIAL LITIGATION ON ACCOUNT OF BUYERS' DEFAULT. BUYER AND SELLER BELIEVE SAID AMOJNT TO BE A FAIR ESTIMATE OF ACTURAL DAMAGES. (b) Seller's Default. IF SELLER DEFAULTS HEREUNDER, BUYER SHALL HAVE ALL THE RIGHTS AND REMEDIES AVAILABLE AT LAW OR IN EQUITY. (c) Attorneys Fees and Costs. In the event of litigation to enforce any of the terms or provisions herein, each party shall pay all its own costs and attorney's fees. Contract/Purchase&Sale 7 of 10 02/08/01 Haak, Lewis 15. NOTICE TO SELLER: This form contains provisions for an agreement for the purchase and sale of real estate. The Buyer makes NO WARRANTY OR REPRESENTATION OF ANY KIND that this form, or any of its provisions, is intended to meet the factual and legal requirements of a particular transaction, or that it accurately reflects that laws of the State of Washington at the time you enter the Agreement. THIS AGREEMENTS HAS SIGNIFICANT LEGAL AND FINANCIAL CONSEQUENCES AND YOU ARE ADVISED TO SEEK INDEPENDENT LEGAL AND FINANCEIAL COUNSEL REGARDING THESE CONSEQUENCES. If you do not understand the effect of any part, consult your Attorney before signing. 16. NON-MERGER. The terms, conditions, and provisions of this Agreement shall not be deemed merged into the deed, and shall survive the Closing and continue in full force and effect. 17. NOTICES. All notices shall be deemed given on the day such notice is personally served, or on the date of the facsimile transmission, or on the third day following the day such notice is mailed in accordance with this paragraph. 18. ENTIRE AGREEMENT. This agreement, including all incorporated exhibits, constitutes the full understanding between Seller and Buyer. There have been no verbal or other agreements that modify this agreement. 19. BINDING EFFECT AND SURVIVAL. This Agreement shall be binding upon parties hereto and their respective heirs, successors and assigns; and the terms, conditions and provisions of this Agreement shall survive the closing of this transaction. 20. DATE OF MUTUAL ACCEPTANCE. For the purposes of this Agreement, the date of mutual acceptance of this Agreement shall be the last date on which the parties to this Agreement have executed this Agreement as indicated below. 21. EXPIRATION OF OFFER. Buyer shall have only until 5:00 p.m. on February 28, 2001 to accept the Purchase and Sale Agreement as written, by delivering a signed copy thereof to the Buyer or the Buyer's agent. If Seller does not so deliver a signed copy within said period, this Agreement shall lapse and all right of the parties hereunder shall terminate. The results of our findings are discussed below. Site Description The above referenced site is in a residential neighborhood located in the city of Kent, in an area known locally as Kent East Hills (Fig.1). The property is 1.82 acres in size, with a home and outbuilding located in the northeast corner. The majority of the land is in hay pasture. The topography is gently rolling, with a small drainage area running southwest through the property. The lot is bordered to the north by 2410'street and to the east by 116' street. To the south and west of the property are subdivisions and apartment complexes. Background According to City of Kent Critical Areas Inventory maps (Fig. 2), wetlands exist south of the referenced property. Upon initial assessment there was concern that the referenced property may be a continuance of these wetlands because of currently mapped minor hydrological features, as described by the City of Kent. After speaking with Kelly Peterson recently, City of Kent Environmental Engineering Division, he stated that construction to the south of the referenced site has changed the relevancy of the minor hydrology found on the Haak property. Hydrologic data found on the referenced property no longer supports any functions or values of downstream wetlands. Methods A site visit of the property was conducted on December 5, 2000 to determine if the site contained wetlands according to Washington State Delineation Manual. Three parameters were evaluated: Soils, Vegetation, and Hydrology. Two soil pits were hand dug to a depth of at least 16", one in the drainage area, and one next to a farm outbuilding (Fig. 3). The plant community was analyzed for the presence of hydrophytic vegetation. The hydrology of the system was also analyzed to determine if inundation had taken place for long enough duration for the soils to be hydric. According to the Washington State Delineation Manual wetlands are areas which are seasonally inundated and/or saturated to the surface for a consecutive number of days which is greater or equal to 12.5 percent of the growing season. At this site the growing season is approximately March 9 to October 10 (King County area Washington Soil Survey,November 1973). The soil at test pit#1 can be described as loamy sand with a matrix color of 2.5YR 4/3. Some mottles were present in the B horizon with a matrix color of 2.5YR 6:71 and 7.5YR 5/8 (Data form #1,12-05-00). This description generally matches the description in the King county Soil Survey defined as the Alderwood series (Fig. 4). The Alderwood series is not listed on the Hydric Soils of the United States List (June 1991), nor was the soil found to be hydric during field investigation. At the time of the site visit no soil saturation nor inundation was found. Vegetation in the drainage area consists entirely of an unmowed stand of Phalaris arundinacea (Reed Canary Grass). According to Mrs. Paulus,h--r husband planted the reed canary grass in the drainage area many years ago as an ornamental grass. Soil pit #2 was dug in a section of land that has historically been used for agricultural practices. The soil profile was homogenous to a depth of 16 inches with a matrix of 10YR 3/3 (Data form #2, 12-05-00). The dominant vegetation at this soil pit, and on the majority of the property is that of hay. Positive identification was not possible because the field was recently mowed. Wetland hydrology was not found. The topography of the property naturally provides a drainage area for surface water runoff.At some time, the drainage area may have supplied water to the wetlands to the southwest, but it no longer provides this function. Apparently, a French drain was installed from the home and extends in a southwest direction out into the field. This may supply additional runoff into the drainage area, and provide a habitat conducive to the stand of P. arttndinacea (Reed Canary Grass). Outside alf the property on the eastern boundary, is a ten foot wide band of trees including Alnus rubra (Red alder), Crategeaus douglasii (Black hawthorne), Rubus procerus (Himalayan Blackberry), and Pteridium aquilinum (Bracken fern). Although, P. arundinacea ( Reed Canary Grass) is rated FACW it did not naturally occur, but was planted many years pre%ious. Soils in the drainage area are not hydric, and although minor hydrologic features are found, these do not wag-rant wetland conditions. The soils, vegetation and hydrology on the remaining property is also not conducive to a wetland system. Based on our evaluation of the current vegetation, hydrology and soils, we found the referenced site to contain no wetlands. Kelly Peterson/City of Kent Environmental Engineering Division, agreed with these findings. The findings presented in this report were based upon field observations during a single visit, review of available data, and discussions with local regulatory and advisory agencies. Observations describe only the conditions present at the time of this investigation. The data reviewed and observations made are limited to accessible areas and currently available records. Conclusions and recommendations contained in this report are based on the evaluation of information made available durins the course of this assessment. It is not warranted that such data cannot be superseded by future environmental,legal, geotechnical or technical developments.
